A “Minor Amendment” is any amendment of this Agreement other than a Substantive Amendment.
No term or provision hereof or Appendix, Exhibit or Schedule hereto may be amended, changed, waived, discharged, terminated or replaced orally except by a written instrument, in accordance with applicable terms and provisions hereof, executed by each of the Parties hereto and, in the case of any Substantive Amendments, receipt of CPUC approval of any such Substantive Amendment.
If a Substantive Amendment is required, the County (or City, if applicable), in its reasonable discretion, may withhold or suspend any Subsequent Approval until the approval of the Substantive Amendment is final.
An amendment which is not a Substantive Amendment may be approved by the JDC and shall not require JSC approval to be binding.
Territory Commercialization Budgets shall form part of, and be incorporated into, the Global Commercialization Budget and shall be reviewed, approved and updated as described in clauses 7.2.1, 7.2.2 and 9.2. In reviewing and approving the Territory Commercialization Budgets as part of the GCP and any Substantive Amendment thereto, the JSC (or the Executive Officers if applicable) shall refer to and consider each Party’s Commercialization Projection in accordance with clause 7.2.2(B).
