Subsidiary Rating definition

Subsidiary Rating has the meaning set forth in Schedule 1.01
Subsidiary Rating means, at any time, the AM Best Financial Strength Rating then in effect for Argo US’s rated operating insurance Subsidiaries. “Level I Status” exists at any date if, on such date, the Borrower Rating is BBB or better and the Subsidiary Rating is A or better. 1 It being understood and agreed, by way of example, that a Rating of A- is one level higher than a Rating of BBB+. “Level II Status” exists at any date if, on such date, the Borrowers have not qualified for Level I Status and the Borrower Rating is BBB- or better and the Subsidiary Rating is A- or better. “Level III Status” exists at any date if, on such date, the Borrowers have not qualified for Level I Status or Level II Status.

  • Required Rating means, in the case of Moody's, the rating assigned to the Underlying Securities by Moody's as of the Closing Date, and, in the case of S&P, the rating assigned to the Underlying Securities by S&P as of the Closing Date.

  • Debt Ratings has the meaning set forth in the definition of “Applicable Rate.”

  • Credit Rating means the rating assigned by a Rating Agency to the senior unsecured long term Indebtedness of a Person.

If at any time (a) the Bonds are not rated, (b) both S&P and Moody’s rate an Eligible Investment and (c) one of those ratings is below the Highest Rating Category, then such Eligible Investment will, nevertheless, be deemed to be rated in the Highest Rating Category if the lower rating is no more than one rating category below the highest rating category of that rating agency. For example, an Investment rated “AAA” by S&P and “Aa3” by Xxxxx’x is rated in the Highest Rating Category. If, however, the lower rating is more than one full rating category below the Highest Rating Category of that rating agency, then the Eligible Investment will be deemed to be rated below the Highest Rating Category.   • S&P Global Ratings means S&P Global Ratings, a division of S&P Global.

  • Long-Term Rating means, for any entity (a) in the case of Moody’s, the long-term senior unsecured debt rating of such entity and (b) in the case of S&P, the long-term issuer credit rating of such entity.

  • Corporate Rating an opinion issued by S&P of an obligor’s overall financial capacity (its creditworthiness) to pay its financial obligations.

  • Specified Rating Agencies means each of Moody’s, S&P and DBRS as long as, in each case, it has not ceased to rate the Notes or failed to make a rating of the Notes publicly available for reasons outside of the Issuer’s control; provided that if one or more of Moody’s, S&P or DBRS ceases to rate the Notes or fails to make a rating of the Notes publicly available for reasons outside of the Issuer’s control, the Issuer may select any other “designated rating organization” within the meaning of National Instrument 41-101 of the Canadian Securities Administrators as a replacement agency for such one or more of them, as the case may be.

  • Approved Ratings Threshold means each of the S&P Approved Ratings Threshold and the Moody’s First Trigger Ratings Threshold.

  • Initial Rating With respect to the Secured Notes, the rating or ratings, if any, indicated in Section 2.3.
