Subsidiary Guaranty Documents definition

Subsidiary Guaranty Documents means, with respect to any Subsidiary that is required to become a Guarantor or a Pledged Subsidiary pursuant to Section 8.14., the following documents: (x) an Accession Agreement (or if the Guaranty is not then in effect, the Guaranty) executed by such Subsidiary, (y) during a Collateral Period, a joinder to the Pledge Agreement (in the form contemplated thereby) (or if the Pledge Agreement is not then in effect, the Pledge Agreement) executed by the Company or any Subsidiary of the Company that owns any Equity Interests in such Subsidiary and (z) the items with respect to such Subsidiary that would have been delivered under Sections 6.1.(I)(a)(iv) through (viii) if such Subsidiary had been a Subsidiary Guarantor on the Closing Date (in the case of Section 6.1.(I)(a)(iv), only to the extent requested by the Administrative Agent), each in form and substance reasonably satisfactory to the Administrative Agent.
Subsidiary Guaranty Documents means a Subsidiary's guaranty of the Borrowers' obligations under the Loan Documents, in form and substance reasonably satisfactory to the Bank, duly executed by a duly authorized officer of such Subsidiary, together with certified resolutions and an incumbency certificate for such Subsidiary comparable to those required by Sections 5.1(d) and 5.1(e).
Subsidiary Guaranty Documents means, with respect to any Subsidiary that is required to become a Subsidiary Guarantor pursuant to Section 8.14, the following documents: (x) an Accession Agreement executed by any such Subsidiary Guarantor, (y) [intentionally omitted], and (z) the items with respect to such Subsidiary Guarantor, the Borrower or Subsidiary, as the case may be, that would have been delivered under Sections 6.1(a)(iv) through (viii) and (xiv) if such Subsidiary Guarantor or Subsidiary had been a Subsidiary Guarantor on the Agreement Date (in the case of Section 6.1(a)(iv), to the extent requested by the Administrative Agent), each in form and substance reasonably satisfactory to the Administrative Agent.

  • Subsidiary Guaranty Agreement means each unconditional guaranty agreement executed by the Subsidiary Guarantors in favor of the Administrative Agent for the ratable benefit of the Secured Parties, substantially in the form of Exhibit H, as amended, restated, supplemented or otherwise modified from time to time.

  • Subsidiary Guaranty means the Subsidiary Guaranty made by the Subsidiary Guarantors in favor of the Administrative Agent and the Lenders, substantially in the form of Exhibit G.

  • Security Documents means the Security Agreement, the Mortgages, the Intellectual Property Security Agreement, the Pledge Agreement, the Facility Guarantee, and each other security agreement or other instrument or document executed and delivered pursuant to this Agreement or any other Loan Document that creates a Lien in favor of the Collateral Agent to secure any of the Obligations.

  • Guaranty means, with respect to any Person, any obligation (except the endorsement in the ordinary course of business of negotiable instruments for deposit or collection) of such Person guaranteeing or in effect guaranteeing any indebtedness, dividend or other obligation of any other Person in any manner, whether directly or indirectly, including (without limitation) obligations incurred through an agreement, contingent or otherwise, by such Person:

  • Note Guaranty means the guaranty of the Notes by a Guarantor pursuant to this Indenture.

  • Seller Guaranty means a guaranty of payment and performance issued by a Seller Guarantor in the form attached to this Agreement as Exhibit V or in such other form as may be acceptable to Purchaser acting reasonably.

  • Subsidiary Guarantees means the guarantees of each Subsidiary Guarantor as provided in Article Thirteen.

  • Guarantor Joinder Agreement means a guarantor joinder agreement substantially in the form of Exhibit 7.12 delivered by a Domestic Subsidiary of the Borrower pursuant to Section 7.12.

  • Parent Guarantee means the guarantee by Parent Guarantor of the obligations of the Issuer under this Indenture and the Securities in accordance with the provisions of this Indenture.
