Except as the Bank shall otherwise agree, the Recipient shall not assign, amend, abrogate, or waive any FMS Subsidiary Agreement or the Somaliland Subsidiary Agreement, or any provisions thereof.
The Recipient shall refrain from transferring any funds out of the proceeds of the Grant to any individual FMS or SL, until the Recipient and respective FMS or SL have duly executed the respective FMS Subsidiary Agreement or Somaliland Subsidiary Agreement, as the case may be, in a manner and substance satisfactory to the Bank.
In the event of any conflict between the provisions of any FMS Subsidiary Agreement or the Somaliland Subsidiary Agreement and those of this Agreement, the provisions of this Agreement shall govern.
