If as a result of an unforeseeable disruption of the financial markets, an Auction cannot be held for a period of more than three business days, the dividend rate for the Subsequent Dividend Period will be the same as the dividend rate for the current Dividend Period.
The Auction Agent accepts such appointment and agrees to follow the procedures set forth in this Section 2 and the Auction Procedures for the purpose of determining the Applicable Rate for the APS for each Subsequent Dividend Period thereof for which the Applicable Rate is to be determined by an Auction.
Each Share of SABRES or Converted MMP shall be deemed to have been tendered to the Tender Agent for sale by Remarketing on the Business Day immediately preceding the first day of each Subsequent Dividend Period applicable thereto, unless the holder thereof shall have given irrevocable notice otherwise to the Remarketing Agent for such Share of SABRES or Converted MMP or, if so instructed by such Remarketing Agent, to the Tender Agent.
A Remarketing Agent is not required to register a transfer of Shares of SABRES pursuant to clause (ii) above on or prior to the Business Day immediately preceding the first day of a Subsequent Dividend Period for such Shares unless it receives the written notice required by such clause (ii) by 3:00 P.M., New York City time, on the second Business Day preceding the first day of such Subsequent Dividend Period.
