Copies of the Trust Deed, the Agency Agreement and the Subordination Deed are available for inspection during normal business hours at the specified office for the time being of the Principal Paying and Transfer Agent.
All redemptions in accordance with this Condition 5 shall be subject to the terms of the Subordination Deed, and in the event of a conflict between the terms of this Condition 5 and the Subordination Deed, the Subordination Deed will prevail.
The Subordination Deed provides, amongst other things, that: (i) the Notes and the Guarantee are subordinated to the amounts owed to the Senior Finance Parties under the Senior Finance Documents; and (ii) that certain payments in respect of the Notes may only be made with the consent of the Senior Finance Parties.
The Trust Deed contains provisions for convening meetings of Noteholders to consider any matter affecting their interests, including the sanctioning by Extraordinary Resolution of a modification of any of these Conditions or any provisions of the Trust Deed, the Subordination Deed and the Agency Agreement.
By subscribing for, purchasing or otherwise acquiring any Notes, each Noteholder is deemed to have instructed and consented to the Trustee entering into the Subordination Deed on its behalf.
