Subordinated Unsecured Notes definition

Subordinated Unsecured Notes means the 10.25% Senior Subordinated Notes due 2023 issued by Holdings on the date hereof and any notes issued by Holdings in exchange for, and as contemplated by, the Subordinated Unsecured Notes with substantially identical terms as the Subordinated Unsecured Notes.
Subordinated Unsecured Notes means, collectively, those certain convertible unsecured subordinated promissory notes in the aggregate amount of up to $1,500,000 if elected to be issued pursuant to Section 6.2(c)(xi) hereof, in each case payable by MediaBay.
Subordinated Unsecured Notes as set forth in Section 2.4 of this Supplemental Indenture.

  • Unsecured Notes means Notes that either (i) are unsecured at the time of issue pursuant to the relevant Final Terms or (ii) become unsecured in accordance with the conversion mechanism described in Condition 5; and

Notes issued by the U.S. Borrower in exchange for any First Lien Notes in accordance with the terms of a registration rights agreement entered into in connection with the issuance of such First Lien Notes shall also be considered First Lien Notes.

  • Senior Secured Note Indenture means the Indenture dated as of November 5, 2009, among the Issuers, the Note Guarantors (as defined therein) and The Bank of New York Mellon, as trustee, principal paying agent, transfer agent and registrar, as amended, extended, restructured, renewed, refunded, novated, supplemented, restated, replaced or modified from time to time;
