The Company shall make such other representations and warranties, enter into such other agreements and provide such other rights for the benefit of the participating Stockholders, in each case on terms no less favorable than any terms described in the New Securities Notice or on which the Company shall provide any of such representations and warranties, rights or agreements for the benefit of any Subject Purchaser.
There has been no anticipation or prepayment of any of the rents, income, issues, profits or revenues from the Subject Properties for more than one (1) month prior to the due dates of such revenues, and Borrower will not permit any Subsidiary Guarantor to collect or accept payment of any such revenues more than one (1) month prior to the due dates of such revenues.
The closing of the purchase of New Securities subscribed for by the Preemptive Rightholders under Section 4.2 shall be held at the executive offices of the Company at 11:00 a.m., local time, on (a) the date of the initial closing of the sale to the Subject Purchaser made pursuant to Section 4.4 if the Preemptive Rightholders elect to purchase some, but not all, of the New Securities under Section 4.2, or (b) at another time and place if the the parties to the transaction so agree in writing.
The closing of any issuance and purchase pursuant to this Section 9.4 shall be held at a time and place as the Company and the Subject Purchaser may agree, subject to the consent of the participating Preemptive Rightholders, which consent shall not be unreasonably withheld or delayed.
The Company shall make such other representations and warranties, enter into such other agreements and provide such other rights for the benefit of the participating Preemptive Right Holders, in each case on the same terms and conditions as those described in the New Securities Notice or on which the Company shall provide any of such representations and warranties, rights or agreements for the benefit of any Subject Purchaser.
