Subject Number definition
Subject Number means a number of shares of Common Stock equal to (i) 7,808,898 shares of Common Stock minus (ii) the greater of (x) 482,617 shares of Common Stock and (y) 1% of the number of outstanding shares of Common Stock at the Closing Time. Subject Number means (a) 3,000,000 or (b) in the event that the aggregate outstanding Loans (as defined in the Loan Agreement) under the Loan Agreement at any time shall be equal to or greater than $100,000,000 during the period commencing on the date of the purchase of securities using such Loans as contemplated by Section 4.4 of the Loan Agreement to and including the date of settlement of such securities, then 10,000,000.
