Subject Litigation definition

Subject Litigation shall have the meaning set forth in the SETTLEMENT AGREEMENT.
Subject Litigation means the cases styled (i) District Court No. 5:00-cv-00421; Bankruptcy Court No. 95-50894; Adversary No. 98- 5023; In Re ▇▇▇▇▇▇ Enterprises, Debtor, ▇▇▇▇▇ ▇. ▇▇▇▇, Trustee, Plaintiff/Appellant, vs. Southern Gas Company, Inc., Southern Gas Co., Alpha Gas Development of Texas, Inc., Alpha Gas Development, Inc., Southern Gas Holding Company, Inc., Southern Gas Co. of Delaware, Inc., American Resources of Delaware, Inc., ▇▇▇▇ Avare, ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇, ▇▇▇▇▇▇▇ ▇. ▇▇▇▇ ▇▇, and ▇▇▇ ▇. ▇▇▇▇▇▇▇, Defendants/Appellees; in the United States District Court for the Eastern District of Kentucky at Lexington and (ii) Case Number H-00-1371; H&N Gas, Limited Partnership, and ▇▇▇▇▇▇ Energy Marketing, L.L.C.
Subject Litigation means all Actions commenced, or to such party’s knowledge, threatened, by stockholders of the Company with respect to or arising from the transactions contemplated by this Agreement, including any and all such Actions commenced on or after the date of this Agreement; and

Examples of Subject Litigation in a sentence

  • If the potential indemnitor fails to so elect in writing to assume the defense, the indemnified party may engage counsel to defend, settle or otherwise dispose of such Subject Litigation, which counsel shall be reasonably satisfactory to the potential indemnitor; provided that the indemnified party shall pursue such defense in good faith and shall not settle or compromise any such Subject Litigation or claim without the consent of the potential indemnitor.

  • Provided that the other party enters into a customary and appropriate tolling agreement with respect thereto, neither party shall (x) assert in any such Subject Litigation cross-claims against the other party for indemnification hereunder or (y) commence Subject Litigation against the other party seeking to establish its right to indemnification hereunder with respect to such Subject Litigation (or seeking to collect such indemnification) until completion of the underlying Subject Litigation.

  • Stockholder hereby (a) waives and agrees not to exercise any rights of appraisal or rights to dissent from the Merger that Stockholder may have and (b) agrees not to commence or participate in, and agrees to take all actions necessary to opt out of any Subject Litigation.

  • In addition, Sellers shall be entitled to receive and retain any amounts awarded to the Company or the Sellers in connection with the Subject Litigation or any Related Litigation, whether in respect of fees and disbursements of counsel, based upon counterclaims asserted by the Company or the Sellers or otherwise.

  • As of the Third Amendment Effective Date (as defined in Section 4 hereof), the Requisite Lenders hereby waive the provisions of Section 3.2(b) of the Credit Agreement to the extent that such provisions require that the representations and warranties pertaining to the Subject Litigation in Section 4.10 of the Credit Agreement are true, correct and complete in all respects on and as of a Credit Extension Date.

More Definitions of Subject Litigation

Subject Litigation means the various lawsuits, PTO proceedings (such as IPRs, reexaminations and the like), any other disputes, and appeals therefrom (collectively, “LITIGATION”), identified in Exhibit A hereto. If any LITIGATION is somehow omitted from being identified in EXHIBIT A, such LITIGATION is deemed LEGAL_US_W # 82848916.3 2 automatically included in the SUBJECT LITIGATION and automatically added to an amended EXHIBIT A as if identified in Exhibit A as of the EFFECTIVE DATE, except for any LITIGATION that will continue as set forth in Exhibit B.
Subject Litigation is defined in Section 8.1.
Subject Litigation has the meaning ascribed to it in Section 6.9(b). "SUPERIOR PROPOSAL" has the meaning ascribed to it in Section 6.2(a). "TAX RETURNS" has the meaning ascribed to it in Section 3.10(b)(i). "TAXES" has the meaning ascribed to it in Section 3.10(c). "TSE" means The Toronto Stock Exchange. "U.S. GAAP" means generally accepted accounting principles in the United States.
