Subject Intellectual Property definition

Subject Intellectual Property means all intellectual property required for the GSRP Entities to operate the Business in the ordinary course following the Closing Date, and for which GSAM or its Affiliates exclusively own all right, title and interest in and to such intellectual property and which was created, developed or procured by GSAM or its Affiliates for the primary purpose of the GSRP Entities’ use.

Subject Intellectual Property means Pre-Collaboration Illumina Intellectual Property, Collaboration Illumina Intellectual Property, Collaboration Joint Intellectual Property, Pre-Collaboration PEB Intellectual Property, or Collaboration PEB Intellectual Property, including Subject Patents.

Subject Intellectual Property has the meaning given it in Section 2.5(d).

• If vacuum insulating glazing technology is not the principal subject of such patentable Joint Subject Intellectual Property, then Subrecipient shall be responsible for filing, prosecuting and maintaining such applications, paying filing, prosecution, and maintenance fees, or defending any reexamination or opposition proceeding in the name of both Parties.

• If a Party desires to license a Subject Invention or Subject Intellectual Property owned by the other Party, the Parties will enter into a separate, mutually agreeable license agreement based on commercially reasonable and nondiscriminatory royalty rates and other customary commercial license terms.

• If vacuum insulating glazing technology is the principal subject of such patentable Joint Subject Intellectual Property, then PPG shall be responsible for filing, prosecuting and maintaining such applications, paying filing, prosecution, and maintenance fees, or defending any reexamination or opposition proceeding in the name of both Parties.

• Notwithstanding the provisions in (i) above, Subject Intellectual Property made by one Party in the performance of work under this Agreement using Preexisting Proprietary Information will be deemed to have been developed jointly, and as partial consideration for the use of the Preexisting Proprietary Information, will be jointly owned by Subrecipient and PPG.

• The Parties will cooperate fully with each other with respect to Joint Subject Intellectual Property, including executing or obtaining all documents, executing or obtaining all assignments and waivers, and providing all other assistance reasonably necessary or requested by the other Party in connection with any filing or prosecution of patent applications.

Subject Intellectual Property means all of the Company’s and its Subsidiaries’ trademarks, trade names, service marks, service mark registrations, service names, patents, patent rights, copyrights, inventions, licenses, approvals, governmental authorizations, trade secrets and other intellectual property that are at issue in the Litigation.

Subject Intellectual Property. (also referred to as "Subject IP") means property and the legal rights therein relating to inventions which may be patentable or otherwise protectable, test data and reports, patent applications, patents, copyrights, trademarks, mask works, trade secrets and any other legally protectable information, including technical data and computer software, first made or generated during the performance of work under this Agreement.

Subject Intellectual Property means the Intellectual Property that is identified on Exhibit A, including the Subject Patent Rights, Subject Trademarks, and Subject Know-How.

Subject Intellectual Property means all right, title, and interest to all patents and patent applications, all inventions, innovations, improvements, developments, methods, designs, recipes, formulas, analyses, drawings, reports and all similar or related information (in each case whether or not patentable), all copyrights and copyrightable works, all trade secrets, confidential information and know-how, and all other intellectual property rights that both (a) are or were conceived, reduced to practice, developed or made by you while employed by LSG and (b) either that (i) directly or indirectly relate to the actual or anticipated business, research and development or existing or future products or services of LSG, or (ii) are or were conceived, reduced to practice, developed or made using any of the equipment, supplies, facilities, assets or resources of LSG (including any intellectual property rights).

Subject Intellectual Property means all Intellectual Property owned or licensed by the Founder that is related to or arose from the Business, provided that the Subject Intellectual Property shall not include assets described in Section 3 of this Agreement.
