Stripe Parties definition

Stripe Parties means Stripe, Stripe’s Affiliates, and the directors, employees and agents of each.

  • You will indemnify the Stripe Parties against all Stripe Losses arising out of or relating to Claims described in this Section 11.2.

  • The limitation of liability in Section 12.2(b) of the General Terms will not apply to claims you or your Affiliates make against the Stripe Parties for failing to transfer any settlement funds the Stripe Parties receive and owe to you in connection with the Stripe Payments Services.

  • You will indemnify the Stripe Parties against all Stripe Losses arising out of or relating to (a) the Stripe Issuing Accountholders’ and Card Authorised Users’ use of the Stripe Issuing Services, including any Stripe Issuing Accountholder’s or Card Authorised User’s act or omission related to the Stripe Issuing Services; and (b) all Card Disputes.

  • The Stripe Parties are not liable for any losses, damages, or costs that you or others may suffer arising out of or relating to hacking, tampering, or other unauthorized access or use of the Services, your Stripe Account, or Protected Data, or your failure to use or implement anti-fraud or data security measures.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.

  • Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Operating Partnership has the meaning set forth in the preamble.

  • Note Parties means, collectively, the Company and each Guarantor.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Operating Entities means, from time to time, the Persons in which the Holding Entities, directly or indirectly, hold interests and that (i) directly hold real estate assets, or (ii) indirectly hold real estate assets but all of the interests of which are not held, directly or indirectly, by the Holding Entities, other than, in the case of each of (i) and (ii), any Person in which the Holding Entities, directly or indirectly, hold interests for investment purposes only of less than 5% of the outstanding equity securities of that Person;

  • MLP has the meaning given such term in the introduction to this Agreement.

  • Investor Parties has the meaning set forth in the Preamble.

  • PAA means Plains All American Pipeline, L.P., a Delaware limited partnership.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Financing Parties means Parties financing the Project, pursuant to Financing Documents.

  • Concert Parties means such Persons as are deemed to be Acting in Concert with AbbVie pursuant to Rule 3.3 of Part A of the Takeover Rules.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants. PJM Interchange:

  • Settling Parties means the Defendants and the Class Representatives, on behalf of themselves, the Plan, and each of the Class Members.

  • Selling Parties shall have the meaning specified in the preamble.

  • lone parent means a person who has no partner and who is responsible for and a member of the same household as a child or young person;

  • Buyer Parties means Buyer, its respective Affiliates and the former, current or future equity holders and Representatives of each of the foregoing.

  • Transaction Parties As defined in Section 5.3(o).

  • Service Partners means any successful vendor who is awarded the proposal or who entered into an agreement with CIPC and/or its clients to offer consulting services in areas such as but not limited to, strategic e-business consulting, evaluation, implementation and continuous improvement or system integration.

  • MLP GP means any general partner of any MLP and any general partner of the general partner of any MLP.
