Stock Swap Transaction means a merger, consolidation or share exchange in which (i) the Company is not the surviving or resulting entity (in the case of a merger or consolidation) or the parent entity (in the case of a share exchange) and (ii) the Holders of outstanding shares of Common Stock receive equity securities in the surviving or resulting entity (in the case of a mergeror consolidation) or the parent entity (in the case of a share exchange).
