Stock Price Goal definition

Stock Price Goal means each Stock Price target amount based on which the Option will be earned, as indicated in the table set forth in Section 1(a) above.
Stock Price Goal means a Fair Market Value of a share of the Company’s common stock equal to at least two (2) times the Fair Market Value of a share of the Company’s common stock on the Grant Date, subject to the provisos in each of Section 2(b)(iii) hereof and Section 2(c)(ii) hereof. The Stock Price Goal shall be measured based on the average per share closing price of a share of the Company’s common stock as reported on the New York Stock Exchange (or if not then traded on such exchange, on the principal national securities exchange in the United States on which it is then traded), and must be equaled or exceeded for at least twenty (20) consecutive trading days based on the average closing price for such twenty (20)-consecutive trading day period. Any fractional shares resulting from the application of the vesting provisions contained in this Section 2 shall be rounded down to the nearest whole number of shares.

Examples of Stock Price Goal in a sentence

  • The Stock Price Goal applicable to a Tranche may be achieved only once during the Performance Period, and accordingly, any achievement of an Achieved Tranche’s Stock Price Goal after such Stock Price Goal already has been achieved during the Performance Period will not result in any additional Shares becoming Eligible Shares, or vesting, with respect to such Achieved Tranche.

  • As described in additional detail below, if the Stock Price Goal applicable to a Tranche is achieved within the Performance Period, then the Tranche Shares related to such Tranche shall become Eligible Shares, with the resulting Eligible Shares eligible to vest as set forth in Section II.C.4 below.

  • As an example, assume that a Change in Control occurs both while this Option remains outstanding and the Participant remains in Continued Eligible Service, the Company achieves a CIC Price of $600.00, and the Company previously achieved the Stock Price Goals for Tranches 1 through 3 but not the Stock Price Goal for Tranches 4 through 8 pursuant to the Certifications through and inclusive of the final Certification.

  • The period during which the Stock Price Goal applicable to a Tranche may be achieved begins with the Grant Date and ends on the Expiration Date, subject to earlier termination as set forth in the Notice of Grant (the “Performance Period”).

  • Subject to Section II.E. below, for a Tranche to become eligible to vest, the Company must achieve a VWAP Price equal to at least the Stock Price Goal amount set forth opposite such Tranche in Table 1 above (each, a “Stock Price Goal”).


More Definitions of Stock Price Goal

Stock Price Goal set forth in Section 2(a)(ii) hereof shall be replaced with one of the following multiples, as applicable: (A) if such Change in Control occurs prior to the first anniversary of the Grant Date, then the applicable multiple shall be one and one-half (1.5) times; or (B) if such termination occurs on or following the first anniversary of the Grant Date but prior to the second anniversary of the Grant Date, then the applicable multiple shall be one and three-quarters (1.75) times.
Stock Price Goal means the goals for the Stock Price set forth on Exhibit B.
Stock Price Goal shall be as follows: (i) with respect to one-third of the Restricted Stock, the Stock Price (as defined in Section 2(b) below) of a Share equaling or exceeding $25 per Share; (ii) with respect to one-third of the Restricted Stock, the Stock Price of a Share equaling or exceeding $28 per Share; and (iii) with respect to one-third of the Restricted Stock, the Stock Price of a Share equaling or exceeding $32 per Share.
Stock Price Goal means the goals for the Stock Price set forth on Appendix B.
Stock Price Goal means any of the foregoing individually.
