Stock Portion definition

Stock Portion is defined in Section 2.2(a)(iii) hereof.
Stock Portion means a number of shares of Veritas Common Stock equal to the sum of (i) the quotient obtained by dividing (x) (A) the number of shares of Veritas Common Stock held by Seagate immediately prior to the Effective Time, multiplied by (B) 0.853743, by (y) the Outstanding Shares, (ii) the quotient obtained by dividing (x) (A) the VP Amount, divided by (B) the Average Veritas Stock Price, by (y) the Outstanding Shares, and (iii) the ISA Amount.
Stock Portion has the meaning set forth in Section 3.02(a).

Examples of Stock Portion in a sentence

  • After payment of the ordinary income tax, the shares you receive for the Stock Portion of your payout will have a tax basis equal to the closing price of L&P stock on the Payout Date.

  • The Company will withhold (at the Company’s required withholding rate) any amount required to satisfy applicable tax laws (i) in cash from the Cash Portion of the payout and (ii) in shares from the Stock Portion of the payout.

More Definitions of Stock Portion

Stock Portion means the number of shares of Landcadia Common Stock equal to (a)(i) the Per Share Merger Consideration multiplied by (ii) the Stock Percentage divided by (b) the Reference Price.
