Stetson II Project definition

Stetson II Project means the approximately 25.5 megawatt nameplate capacity wind generation project comprised of Turbines, turbine towers, tower-mounted transformers, feeder lines, transmission lines, substations, switches, meteorological towers and related facilities, situated in Washington County, Maine, together with all buildings, structures or improvements erected on the land subject to the Stetson II Real Property Interests, all alterations thereto or replacements thereof, all fixtures, attachments, appliances, equipment, machinery and other articles attached thereto or used in connection therewith and all Parts which may from time to time be incorporated or installed in or attached thereto, all contracts and agreements for the purchase or sale of commodities or other personal property related thereto, all leases of real or personal property related thereto, and all other real and tangible and intangible personal property owned by Borrower and placed upon or used in connection with the generation of electricity upon the Project Site.
Stetson II Project means the 25.5 MW wind powered electrical generating facility to be constructed and owned by the Stetson II Project Company located in Washington County, Maine.
Stetson II Project shall have the meaning assigned to such term in Schedule 4.

Examples of Stetson II Project in a sentence

  • Notwithstanding anything to the contrary contained herein, no such Additional Project Document, or material future lease, or other material agreement related to the Stetson II Project may be entered into by Guarantor without the prior written approval of Security Agent, except as otherwise permitted under the Financing Agreement.

  • All proceeds of any Government Grant paid or payable to or for the account of the Borrower or any Project Company or otherwise received by any Affiliate of the Borrower in connection with the Stetson II Project shall be deposited in the Government Grant Proceeds Account.

  • There are no defensive measures in place in the company, namely any limiting shareholder's exercisable voting rights.

  • As of the Stetson II Effective Date, to the Borrower’s knowledge, the Stetson II Construction Budget and Annual Operating Plan (as defined in the Stetson Portfolio Financing Agreement) for the Stetson II Project (a) are based on reasonable assumptions, (b) are made in good faith and (c) are consistent with the provisions of the Stetson II Project Documents.

  • To the knowledge of the Borrower (a) all work performed to date on the Stetson II Project has been performed in a good and workmanlike manner in accordance with the Material Project Documents for the Stetson II Project and all applicable Requirements of Law, in each case, in all material respects and (b) the Stetson II Project is expected to operate upon final completion in accordance with the Material Project Documents and all applicable Requirements of Law, in each case, in all material respects.

  • The Stetson Holding Company has not engaged in any business unrelated to the acquisition and ownership of, directly, the Equity Interests in the Stetson I Project Company and the Stetson II Project Company.

  • Except as set forth on Schedule 5.19, each of the Borrower’s Subsidiaries has in full force and effect all necessary Governmental Approvals required to conduct its operations and for the construction of the Stetson II Project, other than Governmental Approvals which are non-discretionary ministerial permits obtainable in the ordinary course of business or whose absence could not reasonably be expected to have a Material Adverse Effect.

Related to Stetson II Project

  • Solar PV Project means the solar Photo Voltaic Power project that uses sunlight for direct conversion into electricity through Photo Voltaic technology.

  • New Project means (a) each facility or operating location which is either a new facility, location or office or an expansion, relocation, remodeling or substantial modernization of an existing facility, location or office owned by the Borrower or its Subsidiaries which in fact commences operations and (b) each creation (in one or a series of related transactions) of a business unit to the extent such business unit commences operations or each expansion (in one or a series of related transactions) of business into a new market.

  • Redevelopment project means a specific construction project

  • Expansion Project has the meaning set forth in Section IV.3.a of this Agreement.

  • Redevelopment Project Area means an area designated by the municipality, which is not less in the aggregate than 1 1/2 acres and in respect to which the municipality has made a finding that there exist conditions which cause the area to be classified as an industrial park conservation area or a blighted area or a conservation area, or a combination of both blighted areas and conservation areas.

  • Construction Plant means appliances, machinery with necessary supply to up keep and maintenance of the works or temporary works but dose not include materials or other things intended to form part of the permanent work.

  • Infrastructure Improvements means a street, road, sidewalk, parking facility, pedestrian mall, alley, bridge, sewer, sewage treatment plant, property designed to reduce, eliminate, or prevent the spread of identified soil or groundwater contamination, drainage system, waterway, waterline, water storage facility, rail line, utility line or pipeline, transit-oriented development, transit-oriented property, or other similar or related structure or improvement, together with necessary easements for the structure or improvement, owned or used by a public agency or functionally connected to similar or supporting property owned or used by a public agency, or designed and dedicated to use by, for the benefit of, or for the protection of the health, welfare, or safety of the public generally, whether or not used by a single business entity, provided that any road, street, or bridge shall be continuously open to public access and that other property shall be located in public easements or rights-of-way and sized to accommodate reasonably foreseeable development of eligible property in adjoining areas. Infrastructure improvements also include 1 or more of the following whether publicly or privately owned or operated or located on public or private property:

  • Infrastructure improvement means permanent infrastructure that is essential for the public health and safety or that:

  • Power Plant means a facility for the generation of

  • Development Project means a project for the development of land within a

  • Project Completion means completion of the Redevelopment in accordance with this Agreement to the state where the whole of the Morley Shopping Centre, as so redeveloped, is capable of occupation for its intended purpose;

  • Construction project means the same as that term is defined in Section 38-1a-102.

  • Project Improvements means site improvements and facilities that are:

  • Subprojects means more than one such Subproject.

  • Sub-project means a specific development project to be carried out by a Beneficiary utilizing the proceeds of a Sub-loan;

  • Project Completion Date means the date on which the Completion Certificate is issued;

  • Construction Completion Date means the date by which the overall development of the Project is completed in accordance with the provisions of this Agreement and when the Construction Completion Certificate is issued by the Independent Engineer as per Article 14.1.

  • Revenue Operations Date (ROD) means the date of operation of Metro

  • Project means the goods or Services described in the Signature Document or a Work Order of this Contract.

  • Temporary clean coal technology demonstration project means a clean coal technology demonstration project that is operated for a period of five years or less and that complies with the SIP and other requirements necessary to attain and maintain the national ambient air quality standards during the project and after the project is terminated.

  • Phase 2 means the second implementation phase of this section, beginning June 1, 2022 and continuing thereafter.

  • Infrastructure project means any construction or acquisition of treatment works,

  • Clean coal technology demonstration project means a project using funds appropriated under the heading “Department of Energy—Clean Coal Technology,” up to a total amount of $2,500,000,000 for commercial demonstration of clean coal technology, or similar projects funded through appropriations for the Environmental Protection Agency. The federal contribution for a qualifying project shall be at least 20 percent of the total cost of the demonstration project.

  • The Project Plan means the document to be developed by the Supplier and approved by the Purchaser, pursuant to GCC Clause 19, based on the requirements of the Contract and the Preliminary Project Plan included in the Supplier’s bid. The “Agreed and Finalized Project Plan” is the version of the Project Plan approved by the Purchaser, in accordance with GCC Clause 19.2. Should the Project Plan conflict with the Contract in any way, the relevant provisions of the Contract, including any amendments, shall prevail.

  • Subproject means a specific water and/or sanitation Subproject financed or to be financed by a Subproject Grant (as hereinafter defined) provided from the proceeds of the Credit under Part C.1 of the Project;

  • Phase 1 means the first implementation phase of this section, beginning June 1, 2018 and ending May 31, 2022.
