The Static Pool Data of the Sponsor, whether or not incorporated by reference in the Pricing Free Writing Prospectus and the Prospectus, as of the date hereof, as of the date of the Prospectus and as of the Closing Date does not and will not contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading.
As used in this Agreement, the term "Disclosure Package" means, collectively, the initial free writing prospectus dated May 13, 2008 relating to the Notes (the "Initial FWP"), the static pool information within the meaning of Item 1105 of Regulation AB under the Securities Act (the "Static Pool Data") and the Term Sheet dated May 15, 2008 (the "Disclosure Supplement").
As used in this Agreement, the term "Disclosure Package" means, collectively, the initial free writing prospectus dated May 2, 2007 relating to the Notes (the "Initial FWP"), the static pool information within the meaning of Item 1105 of Regulation AB under the Securities Act (the "Static Pool Data") and the Term Sheet dated May 14, 2007 (the "Disclosure Supplement").

The Underwriter shall have received a letter from Deloitte & Touche, LLP dated on or before the Closing Date, in form and substance satisfactory to the Underwriter and counsel for the Underwriter, to the effect that they have performed certain specified procedures requested by the Underwriter with respect to the information set forth in the Pricing Free Writing Prospectus, the Prospectus and any Static Pool Data relating to periods on or after January 1, 2006 and certain matters relating to the Sponsor.
