As of the Effective Date, there are no -------------- strikes, lockouts or slowdowns against the Company, the Borrowers or any Restricted Subsidiary (to the knowledge of any Executive Officer in the case of the RCN-BecoCom Group and the Starpower Group so long as they are Restricted Subsidiaries), pending or, to the knowledge of the Company or the Borrowers, threatened.
Each of the Company and the --------------------- Borrowers will, and will cause (or in the case of Starpower so long as it is a Restricted Subsidiary, use its reasonable best efforts to cause) each of the Restricted Subsidiaries to comply with all laws, rules, regulations and orders of any Governmental Authority applicable to it or its property, except where the failure to do so, individually or in the aggregate, could not reasonably be expected to result in a Material Adverse Effect.
