Should Licensors or any other Indemnified Party not promptly notify Licensee in writing of or afford Licensee the right to defend any such Action, or should Licensors or any other Indemnified Party not cooperate with Licensee in the defense or settlement of such Action or obtain the prior written approval of Licensee to any such settlement or other compromise or disposition of such Action, Licensee shall have no obligation to indemnify Licensors or any other Indemnified Party hereunder. Should Licensee fail to provide a defense for the Indemnified Parties as required hereunder, then Licensee shall reimburse Licensors for their reasonable, documented out-of-pocket expenses (including reasonable attorneys’ fees and expenses and costs of investigation) which arc incurred as a result of any investigation, defense or settlement relating to the foregoing, which reimbursement shall be made to Licensors upon receipt by Licensee of invoices reflecting in reasonable detail such expenses incurred by Licensors. Licensee shall obtain and maintain insurance policies (including products liability and general liability policies at such time as is appropriate) which are reasonable and necessary to cover its activities and to comply with the indemnification obligations set forth above.
