Stand Alone Licensed Devices definition

Stand Alone Licensed Devices means LABS’ completed patient monitor devices that are not capable of Non-Xxxxx Xxxxx Monitoring but that incorporate a MASIMO Board as the exclusive method to obtain SpO2 Measurement.
Stand Alone Licensed Devices means LABS' completed patient monitor devices which do not incorporate a Licensed Application but incorporate MS Boards to provide SpO(Sub 2) Measurements. Stand Alone Licensed Devices shall not include any methods or devices other than MS Boards to account for Hb and HbO(Sub2) in arterial blood oxygen saturation.

Examples of Stand Alone Licensed Devices in a sentence

  • LABS represents that in addition to being responsible for all regulatory approvals for its Products, that should any material incidents of failure of any LABS Licensed Devices which include Xxxxx Xxxxx Monitoring or Stand Alone Licensed Devices or injury related to such Products be reported to LABS, that it will take good faith efforts to promptly (i.e., within two (2) business days) notify MASIMO of any such performance problems or deficiencies relating to Xxxxx Xxxxx Monitoring licensed from Masimo.

  • LABS shall be solely responsible for identifying and obtaining, at its sole cost and expense, all FDA and United States safety agency approvals and any other agency or regulatory approvals which are required for the development, manufacture or sale of LABS Licensed Devices and Stand Alone Licensed Devices.

  • MASIMO shall settle or defend, at MASIMO’s own expense, and pay any direct damage, costs or fines resulting from all proceedings, threats of proceedings or claims against LABS or its customers for infringement or alleged infringement by the Xxxxx Xxxxx Monitoring application(s) in LABS Licensed Devices or Stand Alone Licensed Devices, to the extent relating to the Masimo Technology licensed to LABS in this Agreement, of intellectual property rights of third parties.

  • LABS agrees that it shall use the MASIMO SET product designation set forth in Exhibit B (i) on all LABS Combo Devices that are marketed directly by LABS, and (ii) all Stand Alone Licensed Devices that are marketed directly by LABS, in each case, on a front panel site associated with the Xxxxx Xxxxx Monitoring.

  • Without limiting Section 5.2, the Parties acknowledge that no royalties shall be payable to MASIMO for the distribution or sale of LABS Licensed Devices or Stand Alone Licensed Devices.

  • All advertising directly by LABS for LABS Combo Devices or Stand Alone Licensed Devices shall include one or more of the MASIMO SET Licensed Trademarks.

  • For any sublicenses granted under the Licensed Trademarks, LABS agrees to use its best efforts to coordinate quality control consistent with this Section 2.3.4 over the manufacture, advertisement, promotion and sale of the License Devices, Stand Alone Licensed Devices, and any products or services within the Licensed Applications offered in connection with the Licensed Trademarks by the sublicensee.

  • LABS agrees to make available to MASIMO, upon request, one (1) production sample of each Licensed Device and Stand Alone Licensed Devices which includes a MASIMO Application.

  • Termination of the right to use MASIMO and the Masimo Product Designation as part of a tradename shall not affect the remaining terms of this Agreement and shall not affect Licensed Devices and Stand Alone Licensed Devices.

  • During the period that MASIMO is funding LABS' research and development, MASIMO shall provide engineering support to LABS for the integration of MASIMO SET into Licensed Devices and Stand Alone Licensed Devices.

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Licensed Product means a product, method or service in the Licensed Field of Use, the making, having made, using, importing or selling of which, absent this license, infringes, induces infringement, or contributes to infringement of a Licensed Patent.

  • SAP Products means Software, Documentation, SAP Materials, Services, Subscription Services, Cloud Services and Maintenance Services. “SAP SDK” means SAP software development kit that includes tools such as APIs, source code, redistributable files and instructions. “Services” means SAP’s then-current services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Licensed Site means a place in any authorised street at which street trading may be engaged in by a Licence Holder, and includes any temporary alternative place approved by the Council or a duly authorised Officer of the Council.

  • Licensed service area means the geographic area in which the home service provider is authorized by law or contract to provide commercial mobile radio service to the customer.

Products that include software in systems and solutions that provide dedicated functionality (other than as mentioned above) or designed for use in embedded or function-specific software applications, for example but not limited to: software embedded in or bundled with industrial control systems, wireless mobile telephones, wireless handheld devices, kiosks, TV/STB, Blu-ray Disc devices, telematics and network control switching equipment, printers and storage management systems, and other related systems are excluded from this definition.

  • Hemp products means all products made from industrial hemp,

  • Marijuana product means marijuana as defined in 50-32-101 and marijuana-infused products

  • Spray buff product means a product designed to restore a worn floor finish in conjunction with a floor buffing machine and special pad.

  • Massive Multiauthor Collaboration Site (or “MMC Site”) means any World Wide Web server that publishes copyrightable works and also provides prominent facilities for anybody to edit those works. A public wiki that anybody can edit is an example of such a server. A “Massive Multiauthor Collaboration” (or “MMC”) contained in the site means any set of copyrightable works thus published on the MMC site.

  • Tobacco product means any substance containing tobacco leaf, including but not limited to, cigarettes, cigars, pipe tobacco, hookah tobacco, snuff, chewing tobacco, dipping tobacco, bidis, blunts, clove cigarettes, or any other preparation of tobacco; and any product or formulation of matter containing biologically active amounts of nicotine that is manufactured, sold, offered for sale, or otherwise distributed with the expectation that the product or matter will be introduced into the human body by inhalation; but does not include any cessation product specifically approved by the U.S. Food and Drug Administration for use in treating nicotine or tobacco dependence.

  • licensed distributor means any holder of a distribution licence.

  • Combination Products means any product containing both a pharmaceutically active agent or ingredient which constitutes a Licensed Product and one or more other pharmaceutically active agents or ingredients which do not constitute Licensed Products.

  • Hemp product means the same as that term is defined in § 3.2-4112.

  • Vapor product means any:

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.
