SSAR definition
SSAR means the right granted to a Participant under Paragraph 6 to be paid an amount measured by the appreciation in the Fair Market Value of Common Stock from the date of grant to the date of surrender of the Award, with payment to be made solely in shares of Common Stock as specified in the Award Agreement or as determined by the Committee.
SSAR when immediately preceded by “Dover,” means a right to receive a payment in shares of Dover Common Stock equal in value to the increase in value in a share of Dover Common Stock over a designated strike price pursuant to a Dover Equity-Based Plan and, when immediately preceded by “Apergy,” means a right to receive a payment in shares of Apergy Common Stock equal in value to the increase in value in a share of Apergy Common Stock over a designated strike price, which right is granted pursuant to the Apergy Long Term Incentive Plan as set forth in Section 5.2.
SSAR shall have the meaning ascribed to it in Section 4.27.
More Definitions of SSAR
SSAR means a bookkeeping entry, credited to an Account on behalf of the Grantee, that entitles the Grantee to receive shares of Stock under the Plan that have a Fair Market Value on the Exercise Date equal to the difference between the Base Price Per SSAR and the Fair Market Value of a share of Stock on the date of exercise. A Stock-Settled Stock Appreciation Right does not convey to the Grantee any of the attributes of ownership of a share of Stock.
SSAR means this Award of stock-settled appreciation rights and the right thereunder of the Participant to acquire a specified number of Shares upon exercise, subject to terms and conditions of this Award.
