Spyglass Companies definition

Spyglass Companies means, collectively, Spyglass and its Subsidiaries that hold Contributed Assets or have any rights, title or interests thereto.

  • Except for the negotiation (including activities related to due diligence), execution and delivery of this Agreement and the other Transaction Documents, since January 1, 2010, each of the Spyglass Companies has conducted its respective business in the ordinary course with respect to the Contributed Assets.

  • The Company shall have duly executed and delivered to each Purchaser each of the Transaction Documents to which it is a party.

  • None of the Spyglass Companies own or have any rights, title or interests in any Spyglass Elements described in clauses (i) through (iv) of the definition of “Elements”.

  • The assumptions and valuation inputs are disclosed in note 16.2 and note 15.Changes in the fair value of biological assets are included in profit or loss, with an increase of R2.6 million (2017: increase of R23 million) being recognised in profit or loss in the current year.

  • The Spyglass Companies shall continue to be bound by the terms of that certain Confidentiality Agreement between the parties dated as of January 6, 2010, as amended by that certain amendment dated as of August 18, 2010.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants. PJM Interchange:

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Seller Parent has the meaning set forth in the Preamble.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • SHC means Sears Holdings Corporation.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • SDS means safety data sheets;

  • Company Entities means the Company and the Company Subsidiaries.

  • ATS means an alternative trading system, as defined in Rule 300(a)(1) of Regulation ATS under the Exchange Act.
