Specified Governmental Authority definition

Specified Governmental Authority means any nation or government, any state or other political subdivision, agency or instrumentality thereof or any entity exercising executive, legislative, judicial, regulatory or administrative functions of or pertaining to government and any quasi-governmental entity, including any international organization or agency.
Specified Governmental Authority means (a) any Governmental Authority or (b) the Federal Reserve Bank of Boston, the Board of Governors of the Federal Reserve System, the United States Department of the Treasury, the Congress of the United States (or any committees or commissions established by the Congress of the United States), the United States Government Accountability Office or the Special Inspector General for Pandemic Recovery.
Specified Governmental Authority means any competent governmental authority in the United States, the Federal Republic of Germany or any other jurisdiction in which Novartis AG and/or MorphoSys have subsidiaries at the time of the publication of the Offer Document.

Examples of Specified Governmental Authority in a sentence

  • No Judgment preventing the consummation of the Merger shall have been issued by any Specified Governmental Authority of competent jurisdiction and remain in effect, and there shall not be any Law enacted or deemed applicable to the Merger by a Specified Governmental Authority that makes consummation of the Merger illegal.

Specified Governmental Authority means any Governmental Authority with authority in respect of (i) any Foreign Competition Law in any jurisdiction referred to in Section 1.01(c), (ii) the HSR Act, or (iii) any Foreign Direct Investment Law in any jurisdiction referred to in Section 1.01(d) of the Company Disclosure Schedule.
Specified Governmental Authority means any of Ginnie Mae, Fannie Mae, Freddie Mac, the U.S. Department of Housing and Urban Development, or the Federal Housing Administration or any person, agency or entity acting or purporting to act under governmental authority on behalf of any of the foregoing.
Specified Governmental Authority means each of Xxxxxx Xxx, Xxxxxxx Mac, Xxxxxx Xxx, the Federal Deposit Insurance Corporation, the U.S. Department of Justice, any state attorney general, any state mortgage banking licensing agency or instrumentality, the Board, any Federal Reserve Bank, the U.S. Department of the Treasury, the Consumer Financial Protection Bureau, the Department of Veteran Affairs, the Federal Housing Administration and the United States Department of Housing and Urban Development and the United States Department of Agriculture. Any reference in any Credit Document to any Specified Governmental Authority, whether by name or to such defined term, includes any successor organization thereto.

Specified Governmental Authority means any Governmental Authority performing functions similar to those performed by the FDA or otherwise having jurisdiction over the safety, efficacy, approval, development, testing, labeling, manufacture, storage, marketing, promotion, sale, commercialization, shipment, import, export or distribution of pharmaceutical or biological products.
Specified Governmental Authority means any Governmental Authority with authority in respect of (i) any Foreign Competition Law in any jurisdiction referred to in S ection 1.01(c), (ii) the HSR Act, or (iii) any Foreign Direct Investment Law in any jurisdiction referred to inS ection 1.01(d) of the Company Disclosure Schedule.
