Buyer shall, on the Closing Date, pay into the Escrow Account the Working Capital Escrow Amount, the Indemnity Escrow Amount and the Special Indemnity Escrow Amount in accordance with Section 1.8(a)(i), and the Shareholders’ Representative Fund Amount in accordance with Section 1.8(a)(iv).
Parent shall be deemed to have contributed with respect to each Stockholder his, her or its Pro Rata Portion of each of the Indemnity Escrow Amount, the Special Indemnity Escrow Amount and the Adjustment Escrow Amount to the Escrow Fund and the Expense Fund Amount to the Expense Fund, rounded to the nearest cent ($0.01) (with amounts greater than or equal to $0.005 rounded up).
Within thirty (30) days following determination of the Remedial Costs (including by TRC, if TRC is retained) Sellers shall issue joint written instructions with Buyer to the Escrow Agent to pay the Remedial Costs to Buyer from the Special Indemnity Escrow Amount in accordance with the Escrow Agreement.
The Special Indemnity Escrow Amount shall be deposited into the Special Indemnity Escrow Account in the form of the Special Indemnity Escrow Shares.
