Special Event Redemption Amount definition

Special Event Redemption Amount means for each Note, whether or not included in a Normal Unit, the greater of (a) the principal amount of such Note and (b) the product of (i) the principal amount of such Note and (ii) a fraction the numerator of which is the Treasury Portfolio Purchase Price and the denominator of which is (x) in the case of a Special Event redemption occurring prior to a Successful Remarketing, the aggregate principal amount of the Notes included in Normal Units and (y) in the case of a Special Event redemption occurring after a Successful Remarketing or after the Stock Purchase Date, the aggregate principal amount of the Notes.
Special Event Redemption Amount means for each Note, the greater of (a) the principal amount of such Note and (b) the product of (i) the principal amount of such Note and (ii) a fraction the numerator of which is the Treasury Portfolio Purchase Price and the denominator of which is the aggregate principal amount of the Notes.
Special Event Redemption Amount means (i) in respect of a Withholding Tax Event, an amount equal to the Base Redemption Amount and (ii) in respect of a Tax Event or an Assignment Redemption Event an amount equal to the higher of (a) the Base Redemption Amount and (b) the Make-Whole Amount as calculated by an Independent Investment Banker and notified to the Bank in writing.

Examples of Special Event Redemption Amount in a sentence

  • If a Special Event shall have occurred and be continuing (as of the time of giving notice of redemption) and pursuant to which Lazard Group Finance, at its option, redeems the Lazard Group Finance Notes, in whole but not in part, the Company shall redeem the Senior Notes at a redemption price equal to the Aggregate Special Event Redemption Amount on or before the redemption of the Notes.

  • However, if payment on the next Business Day causes payment of the Special Event Redemption Amount to be in the next calendar year, then payment will be on the immediately preceding Business Day, in each case with the same force and effect as if made on that payment date.

  • If a Special Event shall have occurred and be continuing (as of the time of giving notice of redemption) and pursuant to which Lazard Group Finance, at its option, redeems the Notes, in whole but not in part, the Company shall redeem the Senior Notes at a redemption price equal to the Aggregate Special Event Redemption Amount on or before the redemption of the Notes.

  • Special Event Redemption Price has the meaning specified in Section 11.2.

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Monthly Redemption Amount means, as to a Monthly Redemption, one seventh of the original principal amount at 110% of such principal amount, plus accrued but unpaid interest, liquidated damages and any other amounts then owing to the Holder in respect of this Note.

  • Make-Whole Redemption Amount means the sum of:

  • Mandatory Redemption Amount means an amount per ETP Security calculated by the Determination Agent equal to the greater of:

  • Tax Redemption Date shall have the meaning specified in Section 16.02(a).

  • Optional Redemption Amount (Put) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Early Redemption Amount (k means the "Early Redemption Amount (k)" as calculated or, respectively specified by the Calculation Agent pursuant to § 4 (2) of the Special Conditions.

  • Series A Redemption Date has the meaning set forth in Section 16.6.

  • Minimum Redemption Amount has the meaning specified in the applicable Final Terms;
