Special Event of Default definition

Special Event of Default. An Event of Default under Section 8.01(b) which arises solely from the cumulative effect of a breach or breaches by WMMSC of its agreements as set forth in clauses (i)(x) through (z), inclusive, of the first paragraph of Section 2.07(g).
Special Event of Default means (i) the commencement of a Bankruptcy Proceeding, (ii) the acceleration of all of the obligations under any Credit Document, or (iii) any other Default or Event of Default which has not been waived or cured within thirty (30) days after an Event of Default Notice with respect thereto has been delivered to the Lenders.
Special Event of Default means an event described in the Liquidity Facility upon the occurrence of which the applicable Bank’s obligation to purchase Adjustable Rate Bonds is immediately terminated and, accordingly, such Adjustable Rate Bonds are not subject to tender for purchase.

Examples of Special Event of Default in a sentence

  • No Special Event of Default or Suspension Event shall have occurred and then be continuing.

  • Such Notice of Default shall indicate the nature of such Event of Default or Special Event of Default.

  • The Issuer shall notify the bondholders regarding an occurrence of a Special Event of Default without undue delay after becoming aware thereof, in accordance with section 13.

  • The failure of any Secured Party having knowledge of the occurrence of a Default, an Event of Default or a Special Event of Default to notify the Collateral Agent or any Secured Party of such occurrence, however, does not constitute a waiver of such Default, Event of Default or Special Event of Default by the Secured Parties.

  • The Issuer shall be obliged to pay the capital and the accrued interest of the relevant Bond unit(s) should the Special Event of Default continue both on the date when the notice is received and on the defined early redemption date.


More Definitions of Special Event of Default

Special Event of Default means each of the conditions or events described in Section 7.3 hereof.
Special Event of Default means the occurrence or continuance of any of the following events: (i) any proceeding shall be instituted by or against the QUALCOMM Financial Trust I seeking a voluntary or involuntary liquidation, termination, winding-up or dissolution of the QUALCOMM Financial Trust I or the Borrower shall take any corporate action to authorize any of the actions set forth above; or (ii) any event of default under the Convertible Subordinated Debt Securities Indenture shall have occurred or be continuing.
Special Event of Default shall be deemed to have occurred upon: (1) the occurrence of any or all of the Events of Default described in Sections 7.1(b), (e) or (f); (2) the occurrence of the Event of Default described in Section 7.1(a) and an election by Lender that a Special Event of Default shall be deemed to have occurred; or (3) an acceleration of the Loan following any Event of Default hereunder.
Special Event of Default has the meaning set forth in the Intercreditor Agreement.
Special Event of Default means any Event of Default specified in paragraphs (b), (d), (h), (i), (j), (o), (p) or (q) under the heading "Events of Default" below.
Special Event of Default means as a result of gross negligence or willful misconduct on the part of the Contractor, a breach has occurred under any of the following provisions in this Agreement or any Additional EMS Agreement:
