Spanish Guarantor definition

Spanish Guarantor means each Guarantor that is organized under Spanish law.
Spanish Guarantor means a Subsidiary Guarantor incorporated in Spain.
Spanish Guarantor a Guarantor resident for tax purposes in Spain.

  • Notwithstanding anything to the contrary contained in this Agreement or in any other Loan Document, the aggregate obligations of a Spanish Guarantor will not extend to any liability to the extent that it would result in such guarantee constituting unlawful financial assistance within the meaning of Sections 143.2 and 150 of the Spanish Companies’ Act (Ley de Sociedades de Capital).

  • Any costs and expenses relating to such formalization shall be paid and satisfied by the relevant Spanish Guarantor in accordance with this Indenture.

Spanish Guarantor has the meaning set forth in Section 10.06.
Spanish Guarantor means a Guarantor incorporated in Spain.
