Spanish Guarantor definition

Spanish Guarantor means each Guarantor that is organized under Spanish law.

Spanish Guarantor means a Subsidiary Guarantor incorporated in Spain.

Spanish Guarantor a Guarantor resident for tax purposes in Spain.

• Notwithstanding anything to the contrary contained in this Agreement or in any other Loan Document, the aggregate obligations of a Spanish Guarantor will not extend to any liability to the extent that it would result in such guarantee constituting unlawful financial assistance within the meaning of Sections 143.2 and 150 of the Spanish Companies’ Act (Ley de Sociedades de Capital).

• Further, the maximum amount of any guarantee provided by a Spanish Obligor shall be limited to the amount that would make the net worth of the Spanish Guarantor reduce to two thirds of its share capital, or, in any case, to the amount that would render the Spanish Obligor unable to pay its debts as they fall due or need to enter into negotiations with its creditors and/or file for the opening of bankruptcy (concurso) proceedings minus one euro.

• Without prejudice to the limitations set forth above in this Section 10.06(a)(8), in no event shall the obligations of a Spanish Guarantor pursuant to any Note Guarantee include or extend to any amounts that would render such obligations in contravention of articles 143.2, 150 or 401, as applicable, of the Spanish Capital Companies Act (Real Decreto Legislativo 1/2010, de 2 de xxxxx, por el que se aprueba el texto refundido de xx Xxx de Sociedades de Capital).

• Likewise, if incorporated as a limited liability company (Sociedad de Responsabilidad Limitada), the obligations and liabilities of the Spanish Guarantor under this Agreement and any of the other Senior Finance Documents shall not include and shall not be extended to any obligations which could reasonably be expected to result in a breach of article 402 of the Spanish Law on Companies (Ley de Sociedades de Capital).

• Any costs and expenses relating to such formalization shall be paid and satisfied by the relevant Spanish Guarantor in accordance with this Indenture.

More Definitions of Spanish Guarantor

Spanish Guarantor has the meaning set forth in Section 10.06.

Spanish Guarantor means a Guarantor incorporated in Spain.

Spanish Guarantor means Quotient Iberia S.L.U., a private limited liability company (sociedad de responsabilidad limitada) incorporated under the laws of Spain, and any other Guarantor incorporated under the laws of Spain.

Spanish Guarantor means: (1) each Wholly Owned Subsidiary of Holdings organized under the laws of Spain (other than any Excluded Subsidiary) on the Closing Date or (2) each Wholly Owned Subsidiary of Holdings organized under the laws of Spain that becomes, or is required to become, a party to the Spanish Security Documents after the Closing Date pursuant to Section 5.10.
