S&P Guidelines definition

S&P Guidelines means the guidelines, as may be amended from time to time, in connection with S&P’s ratings of the VMTP Shares.
S&P Guidelines means the guidelines, as may be amended from time to time, in connection with S&P's ratings of the VMTP Shares. S&P Guidelines includes the criteria described in Methodology And Assumptions for Market Value Securities published by S&P September 17, 2013, as may be amended at S&P's sole discretion, and any other guidelines deemed relevant by S&P.
S&P Guidelines shall have the meaning set forth in Section 7.11 hereof.
