Sourcefire Software definition

Sourcefire Software means the machine-readable computer software programs licensed by Sourcefire to You hereunder, including any pertinent Updates.
Sourcefire Software means Sourcefire’s proprietary software included on a Network Appliance or separately downloaded or delivered via a recorded or fixed media.
Sourcefire Software means Licensee’s network security application(s), now existing or later developed, licensed or acquired, as well as any updates, upgrades, new versions, translations, localizations or natural successors thereof, including but not limited to Licensee’s applications identified below: Application Name Functional Description Sourcefire Intrusion Prevention System (IPS) The combination of signature, protocol, and anomaly-based inspection methods to achieve attack detection and prevention capability. Sourcefire RNA (Real-time Network Awareness) The use of passive network discovery, behavioral profiling and integrated vulnerability management technologies Sourcefire Defense Center The integration and correlation of threat information to prioritize security threats In the event Licensee acquires a third party company or product after the Amendment No. 2 Effective Date, then absent Licensor’s express written consent or pursuant to the terms and conditions of a subsequent amendment to this Agreement, which the parties agree to negotiate in good faith, no such after-acquired product shall be deemed “Sourcefire Software” under the Agreement to the extent their distribution of Licensed Software is pursuant to separate agreement with Licensor. Further, in the event Licensee is acquired by a third party company, then absent Licensor’s express written consent or pursuant to the terms and conditions of a subsequent amendment to this Agreement, which the parties agree to negotiate in good faith, the products of the acquiring company as of the consummation of the acquisition shall not be deemed “Sourcefire Software” under the Agreement. Licensee agrees to provide Licensor with prompt written notice prior to its initial distribution of Licensed Software as part of Products which include any such newly acquired products as “Sourcefire Software” during the Term of this Agreement.

  • Neither of the aforementioned warranties apply if the Sourcefire Software or Appliance (i) has been altered, except by Sourcefire or its authorized representative, (ii) has not been installed, operated, repaired or maintained in accordance with instructions supplied by Sourcefire, (iii) has been subjected to abnormal physical or electrical stress, abnormal environmental conditions, misuse, negligence or accident by You, or (iv) is licensed for beta, evaluation, testing or demonstration purposes.

  • Subject to the terms of this Agreement, Sourcefire grants Customer a nonexclusive, non-transferable right, solely for Customer’s internal business operations, to use the Sourcefire Materials subject to all the terms of this Agreement and solely in connection with the licensed use of the Sourcefire Software.

  • Sourcefire warrants that, for a period of ninety (90) days from the date of initial shipment of the Appliance or, in the case of Sourcefire Software separately provided to You, the date the Sourcefire Software is made available to You for download or delivered on a fixed media (as the case may be, the “Software Warranty Period”), the unmodified Sourcefire Software will, under normal use, substantially perform the functions described in its Documentation.

  • If during the performance of Services hereunder, Customer suggests to Sourcefire any new features, functionality or performance for the Network Appliance, Sourcefire Software or the Sourcefire Materials, and Sourcefire subsequently incorporates such features, functionality or performance into the Network Appliance, Sourcefire Software or the Sourcefire Materials, such features, functionality or performance as implemented by Sourcefire will be the sole and exclusive property of Sourcefire.

  • If any Sourcefire Software is licensed to You on a subscription or term basis, You may not deploy or use such software in a manner that exceeds the permitted number of users, term of license, monitored hosts or other subscription or term limitations associated with the applicable license fees paid or payable by You.

  • If Sourcefire Software is made available to You for use without an Appliance (i.e. a virtual product), Your use of such Sourcefire Software may not exceed the applicable use restrictions, number of licenses purchased and other limitations associated with the license fees paid or payable by You for such use.

  • Customer shall own the magnetic or other physical media upon which the Sourcefire Software is originally or subsequently recorded or fixed, but Sourcefire or Sourcefire licensors retain all title, copyright and other intellectual proprietary rights in, and ownership of, the Sourcefire Software regardless of the media upon which the original or any copy may be recorded or fixed.

  • The Sourcefire Software and Documentation and the materials, information and data provided under this Agreement are prepared entirely at private expense and are “Commercial Items” as that term is defined in 48 C.F.R. 2.101.

  • Sourcefire will defend You from any unaffiliated third party claim that Your use of the Sourcefire Software as provided by Sourcefire to You under this Agreement, when used within the scope of this Agreement, infringes any unaffiliated third party’s U.S. copyright (“Claim”).

  • Sourcefire’s sole obligation and liability, and Your sole and exclusive remedy under the warranties set forth in Section 10 shall be for Sourcefire to use commercially reasonable efforts to remedy the problem, or to replace the defective Hardware and/or the Sourcefire Software, if Sourcefire is notified in writing of all warranty problems during the applicable warranty period.

Sourcefire Software means the machine-readable computer software programs licensed by Sourcefire to You hereunder including any software provided to You for use on a subscription, term or software-as-a-services (SaaS) basis, and all Updates to any of the foregoing.

Related to Sourcefire Software

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • Service Software means any and all software applications and any third-party or other software, and all new versions, updates, revisions, improvements and modifications of the foregoing, that Contractor provides remote access to and use of as part of the Services.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Font Software means the software provided by Branding with Type which, when used on an appropriate Device or Devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades, updates, related files, permitted copies, permitted conversions, and related documentation.

  • System Software means Software that provides the operating and management instructions for the underlying hardware and other components, and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Systems Software. Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Customer Software means software which is owned by or licensed to the Customer, including software which is or will be used by the Supplier for the purposes of providing the Goods and/or Services but excluding the Supplier Software;

  • Computer Hardware and Software means all of each Loan Party’s and each of its Subsidiary’s rights (including rights as licensee and lessee) with respect to (a) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (b) all software and all software programs designed for use on the computers and electronic data processing hardware described in clause (a) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (c) any firmware associated with any of the foregoing; and (d) any documentation for hardware, software and firmware described in clauses (a), (b) and (c) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Supported Software with regard to this Run On Premise Model means any Software (as defined in the Outsourcing Agreement) that Partner provides services for to End Users under the relevant Outsourcing Agreement.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Hosted Software means Samsara’s web-based software platform, including the interface accessed online at cloud.samsara.com.

  • Tyler Software means our proprietary software, including any integrations, custom modifications, and/or other related interfaces identified in the Investment Summary and licensed by us to you through this Agreement. • “we”, “us”, “our” and similar terms mean Xxxxx. • “you” and similar terms mean Client.

  • Software Update means a package used to upgrade software to a new version including a change of the configuration parameters.

  • Customized Software or “Customization” means any Application Software code modified or amended on behalf of the Customer. Setting of parameters, parameterization or configuration is not a Customization.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.

  • Software Products and “Software” are interchangeable and mean software, computer source codes and other computer programs.

  • The Software means the software designed and developed by the Bidder or the Bidder’s Personnel, and includes the source code and object code along with associated documentation, which is the work product of the development efforts envisaged in the Terms of Reference. It does not include commercial off-the-shelf licensed software (except for the customisation components of such products).

  • Software means any computer software programs, including all source code, object code, and documentation related thereto and all software modules, tools and databases.

  • SAP Group Software means (i) any and all software products listed on the Price List as well as any SAP SDK which are provided by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) under any part of this Agreement all as developed by or for the SAP Group; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to Maintenance Services or warranty obligation by any member of the SAP Group; and (iii) any complete or partial copies of any of the foregoing.

  • Software Product means any COTS which you propose to provide pursuant to the contract.
