SONY BMG Materials definition

SONY BMG Materials means the SONY BMG Videos and the SONY BMG Authorized Trademarks, together with any associated metadata and all other artistic and literary materials, ideas, and intellectual properties owned or controlled by SONY BMG (or its designees, Affiliates, agents or related companies, as the case may be) furnished or selected by SONY BMG hereunder and delivered to the Company by SONY BMG in its sole discretion for use by Company, as and to the extent expressly permitted herein.

  • Company warrants and represents that Company shall not directly or indirectly allow any of the SONY BMG Materials to be edited, altered or otherwise modified, either in whole or in part, directly or indirectly.

  • In respect of each calendar month following the China Launch Date, Company shall pay to SONY BMG, on a calendar monthly basis in respect of each calendar month during the Term, the greater of (i) the Service Fees due pursuant to section 6.01 below attributable to the exploitation of SONY BMG Materials in China or (ii) a minimum revenue guarantee (the “Revenue Guarantee”) of Fifty Thousand United States Dollars (US$50,000) per calendar month.

  • In respect of each calendar month following the U.S. Launch Date, Company shall pay to the Applicable Affiliate, on a calendar monthly basis in respect of each calendar month during the Term, the greater of (i) the Service Fees due pursuant to section 6.01 below attributable to the exploitation of SONY BMG Materials in the United States, or (ii) a minimum revenue guarantee (the “Revenue Guarantee”) of Fifty Thousand United States Dollars (US$50,000) per calendar month.

Related to SONY BMG Materials

  • Manufacturing Materials means parts, tools, dies, jigs, fixtures, plans, drawings, and information produced or acquired, or rights acquired, specifically to fulfill obligations set forth herein.

  • Training Materials means any and all materials, documentation, notebooks, forms, diagrams, manuals and other written materials and tangible objects, describing how to maintain the Facilities, including any corrections, improvements and enhancements thereto to the Bloom Systems which are delivered by Operator to Owner, but excluding any data and reports delivered to Owner.

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • Packaging Materials means art and mechanical formats for a Software Title including the retail packaging, end user instruction manual with end user license agreement and warranties, end user warnings, FPU media label, and any promotional inserts and other materials that are to be included in the retail packaging.

  • Marketing Materials has the meaning ascribed thereto in NI 41-101;

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Promotional Materials means all written, printed, graphic, electronic, audio or video presentations of information, including journal advertisements, sales visual aids, formulary binders, reprints, direct mail, direct-to-consumer advertising, disease awareness materials, internet postings, broadcast advertisements and sales reminder aides (for example, note pads, pens and other such items, if appropriate) intended for use or used by or on behalf of a Party, its Affiliates or its sublicensees in connection with the Commercialization of a Product in the Territory.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Instructional materials means relevant instructional

  • Advertising Materials means all advertising, merchandising, promotional and display materials of or concerning the Licensed Products.

  • Client Materials means the CLIENT Development Materials and the CLIENT Production Materials.
