Software Term definition

Software Term means the initial term and any subsequent renewal term(s) for the Software, as set forth in the applicable Transaction Document.
Software Term or “Software Solution Term” means the time starting from the Software Start Date through the end date of MPS as set forth in Appendix A.
Software Term means the period (if any) identified in Exhibit 1 as the “Software Term” that is applicable to any particular Software. Additionally, each of the terms defined in the introductory paragraph or elsewhere of this Amendment have the meaning so ascribed to those terms.

Examples of Software Term in a sentence

  • Subject to Section 16.j, Appgate warrants to Customer that Software will function materially in accordance with the Documentation for a period of thirty (30) days from commencement of the Software Term with respect thereto (the “Warranty Period”).

  • Appgate may deploy the Software and/or Hosted Services with license key or other technology that prohibits use of the Software or Hosted Services, as applicable, beyond the applicable Software Term, license parameters, Hosted Service Term or grant of right to access and use.

  • If the Initial Software Term is not perpetual, it will renew for successive periods of one (1) year, or for such other period as is stated on the Order, (each a “Renewal Software Term”) at the end the Initial Software Term or applicable Renewal Software Term, unless either party notifies the other in writing thirty (30) or more days prior to the end of the current Initial Software Term or Renewal Software Term.

  • Client is granted a right to access and use the Ellucian-proprietary self-paced, web-based training programs (“Web-Based Training Programs”) that Ellucian makes available during the applicable Software Term.

  • Upon termination of this Agreement or of a Software Term or license, Customer shall cease all use of the Software in question and any related Documentation and, within 5 days, return to BeyondTrust such Software and Documentation, as well as any leased Hardware provided for use with such Software and any related Confidential Information, or if BeyondTrust so requests, destroy the same and certify the manner, date, and time of destruction in writing.

  • With respect to Software licensed (whether or not such Software is to be provided as a Hosted Service) by Customer, Appgate grants Customer a non- exclusive, non-transferable (except as expressly permitted in the Schedule Agreement) and non-sublicensable license to use such Software during the Software Term with respect thereto, solely for use by Authorized Users in accordance with the Permitted Use.

  • Further, provided that Client pays Ellucian the applicable subscription fees specified in this Order Form, Ellucian will, during the applicable Software Term, make available to Client each new version of the Web-Based Training Programs will be made available via the website as soon as reasonably practicable after the same become generally available to Ellucian licensees in each instance.

  • No Software Term or term for Hardware, Support Services, Professional Services or E-Learning services, or other right to any product or service will continue after termination of this Agreement, including without limitation perpetual Software Terms.

  • For avoidance of doubt, Client will in no event be due a credit, refund or fee reduction in the event that Client’s actual FTE decreases below the Contracted FTE at any time during the Software Term.

  • With respect to Software licensed (whether or not such Software is to be provided as a Hosted Service) by Customer, Appgate grants Customer a non-exclusive, non-transferable (except as expressly permitted in the Schedule Agreement) and non-sublicensable license to use such Software during the Software Term with respect thereto, solely for use by Authorized Users in accordance with the Permitted Use.


More Definitions of Software Term

Software Term means the period in which Customer is authorized to utilize the Software. Each Software Term shall be listed on the applicable Order Form and shall commence on the date of delivery of the Software.
Software Term. “Renewal Software Term,” and “Initial Software Term” are defined in Section 5.1.
Software Term means the software known as VMem version 2.x as made available to Licensee via download from the PureDev Website; means the duration of this Agreement described in clause 11.1; Territory means worldwide; Update means an update to the Software intended to remedy faults, bugs and errors or make minor improvements to the current version.
Software Term. For Term Software: Unless other payment terms for specific Term Software are stated in this Contract Supplement, the first annual fee is due, in advance, on the CS Effective Date. Subsequent annual fees are due, in advance, on each anniversary of the CS Effective Date.
Software Term means the term of authorized use of the Software and any Professional Service as set forth in an Order Form.

Related to Software Term

  • Software Update means a package used to upgrade software to a new version including a change of the configuration parameters.

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Software Order Form means the order form for the Software, Third Party Software and related SAP Support ordered by Licensee thereunder, including information on Software, Third Party Software, SAP Support, fees, and other information necessary for the delivery of such items to Licensee.

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • Software Program means the software program used by a Fund for providing Fund and account balance information including net asset value per share. Such Program may include the Lion System. In situations where the Lion System or any other Software Program used by a Fund is not available, such information may be provided by telephone. The Lion System shall be provided to Insurance Company at no charge.

  • Software Upgrade means a release of Software, in object code form, or firmware, which adds new functionality and feature enhancements to the Software or Equipment.

  • Software Error means a reproducible defect or combination thereof in the Software that results in a failure of the Software when used in accordance with the Documentation. Software Errors do not include those errors caused by (a) Licensee’s negligence, (b) any unauthorized modification or alteration Licensee makes to the Software, (c) data that does not conform to Licensor’s specified data format, (d) operator error, or (e) use not conforming to the Licensor’s supported technical environment specified in the Documentation.

  • License Term means the duration of a License as specified in the Order.

  • Software Product means any COTS which you propose to provide pursuant to the contract.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Computer software maintenance contract means a contract that obligates a seller of computer software to provide a customer with:

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Hosted Software means Samsara’s web-based software platform, including the interface accessed online at cloud.samsara.com.

  • Services Term means the period during which you are entitled by Red Hat to use, receive access or consume a particular Red Hat Product pursuant to an Order Form or Business Partner order.

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • Licence Term means the Initial Term plus any Further Term; Licensee means You and/or the Permitted Users;

  • Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.

  • Software Products and “Software” are interchangeable and mean software, computer source codes and other computer programs.

  • Software License means a license for the Software granted under this XXXX to the Licensee;

  • Collaboration Know-How means all Know-How conceived, discovered, developed or otherwise made by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing (solely or jointly by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing) in the course of [***].

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Software License Agreement means the particular Software License Agreement to which these Terms and Conditions are attached and incorporated into by reference.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).
