Software Materials definition
Software Materials means the Software and the Documentation.
Software Materials means any software, programs, tools, systems, data or other materials made available to the Customer prior to or after the Effective Date including, but not limited to, the Software and Documentation;
Software Materials means any and all (a) computer programs, including any and all software implementations of algorithms, models and methodologies, whether in source code or object code, including AI Technologies; (b) databases and compilations, including any and all data and collections of data, whether machine readable or otherwise; (c) descriptions, flow-charts, specifications, schematics, and other work product used to design, plan, organize and develop any of the foregoing, (d) all documentation, including user manuals and training software, relating to any of the foregoing and (e) any device, programming, documentation, media and other objects, including compilers, workbenches, tools, and higher-level or proprietary languages, used by the Company for the development, maintenance and implementation of any Software Materials described in clauses (a) to (d) above;

At any time within twelve (12) months of the Effective Date, a Non-Possessing Party may request in writing to the Possessing Party that any Shared Software or Software Materials therefor not already in the possession of the Non-Possessing Party be cloned and provided thereto (collectively, “Cloned Software and Materials”).

Software Materials means the Software and the Documentation;
Software Materials and "Licensed Software Materials" in this Agreement shall also mean any machine-readable or printed material not included in the Licensed Software and which is designated by The Library Corporation as available under license to libraries who have licensed the program to which those materials relate, including documentation of the System.
Software Materials is defined as any machine readable or printed material, including but not limited to documentation stored on CD, On-Line Help files and hard-copy guides, which are designated by Polaris as available under license to libraries who have licensed the program to which those materials relate.
Software Materials means the Source and Object codes for (i) all current and future modifications and updates to version 3.70 the Advanced Gaming Engine, including version 4.00 and all and any subsequent versions. (ii) all software embedded within the Products as are necessary to be delivered or deposited to comply with this Agreement and (iii) any necessary software documentation to perform the IP-Rights in the Products under this Agreement.
Software Materials means any software, documentation or other goods, including media, made available by Us to You for the purpose of receiving the Service;
Software Materials means, with respect to any Software (including any customizations, integrations and scripts developed to extend or interface with third-party applications or services), all Software and ancillary materials of such Software, including the complete source code and object code, infrastructure-as-code definitions, configuration files, build and deployment pipelines, automation and utility scripts, testing scripts and frameworks, and all associated technical and user documentation for such Software, in each case necessary or useful to permit each Party to be able to fully operate, maintain, and evolve such Software.
