SoftNet means SOFTNET SYSTEMS, INC., a New York Corporation.
SoftNet. “SoftNet Shares”, and “Target”, respectively, shall have the meanings defined in the foregoing preamble and recitals to this Agreement.
SoftNet. “SoftNet Shares”, and “Target”, respectively, shall have the meanings defined in the foregoing preamble and recitals to this Agreement. 1.2 “Merger Date” shall mean the date on which Articles of Merger are filed with the Secretary of State of Washington and the Secretary of State of Nevada. 1.3 “Closing Date” shall be the date when the parties execute the Articles of Merger (as defined below), which the parties intend to be September 25, 2006, however, the parties can change the Closing Date to such other time and place as the parties shall mutually agree, in writing. As of the Closing Date, all Exhibits to this Agreement shall be complete. 1.4 “Effective Date” shall mean July 1, 2006. All adjustments shall be made as of the Effective Date.
