SocGen Instrument definition

SocGen Instrument means that certain ISDA Master Agreement and all schedules thereto dated as of December 7, 2001 between Xxxxx City and Societe Generale, or any replacement or successor instrument entered into by Xxxxx City on substantially similar terms, whether or not Societe Generale is the counterparty to such successor instrument; provided that such instrument (a) requires scheduled payments and deposits to be made only on (i) April 1 and October 1 of any year, subject to the Modified Business Day Convention (as defined in the SocGen Instrument), or (ii) on the Closing Date and December 28, 2001, and (b) Xxxxx City irrevocably directs the counterparty thereto (and such counterparty acknowledges) that payments shall be made directly into the Revenue Account.
SocGen Instrument means that certain ISDA Master Agreement and all schedules thereto dated as of [___] 2001 between Xxxxx City and Societe Generale, including any replacement or successor instrument entered into by Xxxxx City on substantially similar terms, whether or not Societe Generale is the counterparty to such successor instrument; provided that such instrument requires scheduled payment dates and deposit dates only on Rent Payment Dates and Xxxxx City irrevocably directs the counterparty thereto (and such counterparty acknowledges) that payments shall be made directly into the Revenue Account.
