Significant Competitor definition

Significant Competitor means any commercial bank, savings bank, savings and loan association, or mortgage banking company, or a holding company affiliate of any of the foregoing, which at the date of its employment of the Employee has an office out of which the Employee would be primarily based within 35 miles of the Bank's home office.
Significant Competitor means any corporation, partnership or entity (i) that competes directly against the Corporation in one or more product lines with such product lines representing at least 10% of the total sales of such competitor, and (ii) where such competing products offered by the Corporation constitute at least 10% of the total sales of any organization unit of the Corporation (e.g. division or corporate) that the Executive has been employed at during the previous 24 months. Notwithstanding anything above, this section shall not prohibit the Executive from owning not more than 5% of any publicly traded company. The restrictions on the Executive pursuant to this Section 9(c) shall lapse upon any material breach of this Agreement by the Corporation, including without limitation, the obligations of Corporation under Section 6 COMPENSATION UPON TERMINATION.
Significant Competitor means any company or division of a company that, on the Without Cause Termination Date or the Retirement Termination Date, directly or indirectly, is materially (10% or more of its revenues) engaged in the operation or management of a health maintenance organization or any other similar provider, payer or insurer for medical services. The Company and Executive agree that the terms and conditions of this Section 6 shall survive the termination of this Agreement following the Without Cause Termination Date or the Retirement Termination Date.

Examples of Significant Competitor in a sentence

  • In the event Executive violates the non-competition provisions set forth herein, Bank shall be entitled, in addition to its other legal remedies, to enjoin the employment of Executive with any Significant Competitor for the period set forth herein.

More Definitions of Significant Competitor

Significant Competitor means any bank, savings bank or savings and loan association which at the date of its employment of the Executive has total assets of one billion dollars or more and a home or branch office in any city in Puerto Rico. In consideration of the Executive entering into this non-competition agreement, he shall receive an amount of $50,000 which amount is for purposes of this Agreement included as part of the Executive's base salary.
Significant Competitor means any commercial bank, savings bank, savings and loan association, mortgage banking company or a holding company affiliate of any of the foregoing which, at the date of its employment of the Executive, has an office out of which the Executive would be primarily based that is located within 75 miles of the Employer's office located at 00-00 Xxxxxxxx Xxxxxx, Xxxxxxxxxx, Xxx Xxxx. If any court or other tribunal having jurisdiction to determine the validity or enforceability of this paragraph determines that, strictly applied, it would be invalid or unenforceable, the definition of "significant competitor" and the time provisions used shall be deemed modified to the extent necessary (but only to that extent) so that the restrictions in that subsection, as modified, will be valid and enforceable.
Significant Competitor means any company or division of a company that, on the date of its employment of Employee, derives more than 50% of its gross revenues from network security products and/or services, or a company that owns or controls a majority of the voting securities of any such company. The Company and Employee agree that the terms and conditions of this Section 9 shall survive the termination of this Agreement following the Termination Date.

The Company and Executive agree that the terms and conditions of this Section 7 shall survive the termination of this Agreement following the Termination Date. In consideration of the Executive's covenant not to compete under this Section 7, the Executive shall be paid an amount equal to one year of the Executive's pre-termination Base Salary.
