Side Letter Agreement means each side letter agreement to be dated as of the Closing Date, by and between the Seller and a Buyer.

Side Letter Agreement means any side letter or similar separate written agreement among, inter alia, the Partnership, the General Partner and/or the Investment Manager and one or more of the Limited Partners that establishes rights, responsibilities and/or obligations under this Agreement and/or a Subscription Agreement or supplements or alters the terms hereof or thereof.
