Seller and Shoppers Charge Accounts Co. shall have entered into the Termination Agreement, the terms of which are otherwise reasonably satisfactory to Buyer and all actions required to be taken by Seller or Shoppers Charge pursuant to the Termination Agreement (other than the payment of the repurchase price for such accounts receivable by the Surviving Corporation and the redelivery of the accounts receivable) shall have been taken.
