Shipbuilding Contract A definition
Shipbuilding Contract A means the shipbuilding contract dated 3rd June 2005 entered into between the Builder as builder/seller and the Borrower A as buyer, for the construction and completion of the Vessel A at the Contract Price, as the same may from time to time be amended, varied or supplemented, with the Security Trustee’s prior written consent;
Shipbuilding Contract A means the shipbuilding contract dated 26 July 2006 and made between the Builder and Boxcarrier No. 1 for the construction by the Builder of Ship A and its purchase by Boxcarrier No. 1, as supplemented from time to time;

"Shipbuilding Contract C" means, in relation to Ship 35, the shipbuilding contract dated 16 September 2022 and made between (i) the Builder of Ships 35 and 36 and (ii) the Borrower for the construction by the Builder of Ship 35 and its purchase by the Borrower. "Shipbuilding Contract D" means, in relation to Ship 36, the shipbuilding contract dated 16 September 2022 and made between (i) the Builder of Ships 35 and 36 and (ii) the Borrower for the construction by the Builder of Ship 36 and its purchase by the Borrower.
Shipbuilding Contract A means, in relation to Ship 3319, the shipbuilding contract dated 2 June 2021 and made between (i) the Builder of Ships 3319 and 3420 and (ii) the Borrower for the construction by the Builder of Ship 3319 and its purchase by the Borrower. "Shipbuilding Contract B" means, in relation to Ship 3420, the shipbuilding contract dated 2 June 2021 and made between (i) the Builder of Ships 3319 and 3420 and (ii) the Borrower for the construction by the Builder of Ship 3420 and its purchase by the Borrower. "Shipbuilding Contract C" means, in relation to Ship 3521, the shipbuilding contract dated 16 September 2022 and made between (i) the Builder of Ships 3521 and 3622 and (ii) the Borrower for the construction by the Builder of Ship 3521 and its purchase by the Borrower. "Shipbuilding Contract D" means, in relation to Ship 3622, the shipbuilding contract dated 16 September 2022 and made between (i) the Builder of Ships 3521 and 3622 and (ii) the Borrower for the construction by the Builder of Ship 3622 and its purchase by the Borrower. "Shipbuilding Contract" means Shipbuilding Contract A, Shipbuilding Contract B, Shipbuilding Contract C and Shipbuilding Contract D. "SOFR" means the secured overnight financing rate (SOFR) administered by the Federal Reserve Bank of New York (or any other person which takes over the administration of that rate) published (before any correction, recalculation or republication by the administrator) by the Federal Reserve Bank of New York (or any other person which takes over the publication of that rate). "Specified Time" means a day or time determined in accordance with Schedule 12 (Timetables). "Statement of Compliance" means a Statement of Compliance related to fuel oil consumption pursuant to regulations 6.6 and 6.7 of Annex VI. "Subsidiary" means, a company (S) is a subsidiary of another company (P) if: (a) a majority of the issued shares in S (or a majority of the issued shares in S which carry unlimited rights to capital and income distributions) are directly owned by P or are indirectly attributable to P; or (b) P has direct or indirect control over a majority of the voting rights attaching to the issued shares of S; or (c) P has the direct or indirect power to appoint or remove a majority of the directors of S; or 29 EUROPE/75885978v8
