Shares of Common Stock Outstanding means at any time, with respect to the Company, the sum of (i) all shares of Common Stock issued and outstanding at such time, (ii) all shares of Common Stock which are then issuable upon conversion of the Series A Preferred Stock, (iii) all shares of Common Stock which are then issuable upon conversion of the Series A-1 Preferred Stock, (iv) all shares of Common Stock which are then issuable upon conversion of the Series B Preferred Stock, (v) all shares of Common Stock which are then issuable upon conversion of the Series B-1 Preferred Stock or upon the exercise of warrants to purchase Series B-1 Preferred Stock and (vi) all shares of Common Stock which are then issuable upon conversion of the Series C Preferred Stock all shares of Common Stock which are then issuable upon conversion of the Series C Preferred Stock or upon the exercise of options to purchase Series C Preferred Stock.

Shares of Common Stock Outstanding means, as of any given date, the sum of (1) the number of shares of the Common Stock outstanding, (2) the number of shares of the Common Stock into which the then outstanding shares of the Preferred Stock could be converted if fully converted on the day immediately preceding the given date, (3) the number of shares of Common Stock issuable upon exercise of all Options outstanding on the day immediately preceding the given date and (4) the number of Common Stock issuable upon the conversion or exchange of Convertible Securities outstanding on the day immediately preceding the given date and, without duplication of any amounts included in clause (3) of this definition, Convertible Securities issuable upon the exercise of Options outstanding on the day immediately preceding the given date.

  • Class B Ordinary Share means an Ordinary Share of a par value of US$0.0001 in the capital of the Company, designated as a Class B Ordinary Share and having the rights provided for in these Articles;

  • Common Stock Equivalent means any Convertible Security or warrant, option or other right to subscribe for or purchase any Additional Shares of Common Stock or any Convertible Security.

  • Class A Ordinary Share means an Ordinary Share of a par value of US$0.0001 in the capital of the Company, designated as a Class A Ordinary Shares and having the rights provided for in these Articles;
