Shareholder Closing Balance Sheet means a balance sheet of Dock, containing each of the line items in the April 30, 2002 Balance Sheet, which has been prepared by Shareholder and Shareholder’s accountants in accordance with GAAP, consistently applied, and fairly represents the financial condition, assets, liabilities and shareholder’s equity of Dock as of the Closing Date.
