Share or Shares definition

Share or Shares means a common share or common shares of the Company as constituted on July 1, 1999.

Share or Shares means the Participating Shares of no par value in the Fund issued subject to, and in accordance with the Act, the Regulations and the Instrument of Incorporation of the ICAV;

Share or Shares means all classes of shares and share certificates that may be held in accordance with applicable law and regulations.

More Definitions of Share or Shares

Share or Shares means a single share or shares of Common Stock. The aggregate number of Shares which may be allocated under this Plan shall not exceed 600,000 Shares, or the equivalent number thereto in the event of a change in the number of the issued shares after the Effective Date.

Share or Shares means a share or shares of any class in the Company or a Fund, as the context so requires;“Sub-Investment Management Agreements”means, in relation to a Fund, such sub-investment management agreement as may be specified in a Supplement;“Sub-Investment Manager”means any entity appointed as sub-investment manager in relation to a Fund including, without limitation, PGIM Quantitative Solutions, PGIM Wadhwani, Jennison and PGIM Limited, each of which will have full power and discretionary authority on behalf and for the account of the Company to manage and invest the cash and other assets of a Fund;“Subscription Agreement”means any subscription agreement to be completed and signed by a prospective Shareholder seeking to subscribe for Shares in such form as is approved by the Company or Investment Manager from time to time;“Subscription Cut-Off Time”means, in relation to a Fund, such time as will be specified in a Supplement;“Supplement”means a document which contains specific information in relation to a particular Fund and any addenda thereto;“Sustainability Factors”mean environmental, social and employee matters, respect for human rights, anti‐corruption and anti‐bribery matters;“Sustainability Risk”means an environmental, social or governance event or condition that, if it occurs, could cause an actual or a potential material negative impact on the value of an investment;“Taxonomy”means Regulation (EU) 2020/852 of the European Parliament and of the Council of 18 June 2020 on the establishment of a framework to facilitate sustainable investment, and amending SFDR;“TCA” or “Taxes Act”means the Irish Taxes Consolidation Act 1997, as amended from time to time;“tranche”means the Shares issued in one or more Classes which represent a separate Fund;“UCITS”means an undertaking for collective investment in transferable securities within the meaning of the UCITS Regulations;“UK”means the United Kingdom;“Unhedged Class”means a Class which is denominated in a currency other than the relevant Base Currency and in respect of which currency hedging will not be applied;“USD” or “US$”means US Dollars, the lawful currency of the US;“US Person”has such meaning as is set out in Appendix A hereto;“US Taxpayer”has such meaning as is set out in Appendix A hereto;

Share or Shares means ordinary equity share of no nominal value of EA.

Share or Shares means a common share or shares, par value U.S.$0.01 per share, of the Company, or, in the event that the Shares are later changed into or exchanged for a different class of shares or securities of the Company or another Entity, that other share or security. Shares may be represented by a certificate or by book or electronic entry.

Share or Shares means Common Stock reserved for issuance under the Plan, as adjusted pursuant to the Plan, and any successor (pursuant to a merger, consolidation or other reorganization) security.

Share or Shares means book-entry preferred shares with no par value issued by the COMPANY that will be granted by the COMPANY or by the GRANTING GERDAU GROUP ENTITY to the EXECUTIVES, under the terms of this PLAN.
