SFX Options definition

SFX Options means collectively, the following options to purchase SFX Shares in accordance with their terms:

Examples of SFX Options in a sentence

  • Fractional Shares and Warrants No fractional Amalco Shares or Amalco Convertible Securities will be issued by Amalco to any holder of SFX Shares, GSH Shares, SFX Options, SFX Warrants, GSH Options or GSH Warrants, and the number of Amalco Shares and Amalco Convertible Securities issued at any time will be rounded down to the next whole number.

  • Exchange of Option and Warrant Certificates Holders of GSH Warrants, SFX Warrants, GSH Options and SFX Options need not surrender the certificates or agreements representing such securities as the terms thereof contemplate adjustment for corporate reorganizations such as the Amalgamation, and will be entitled to Amalco Shares on exercise of such securities.

  • This Information Circular constitutes notice of these changes under the applicable warrant indenture, certificate or agreement relating to the GSH Warrants, SFX Warrants, GSH Options and SFX Options.

  • However, Amalco may on or promptly after the Effective Date deliver or arrange to be delivered to the holders of GSH Warrants, SFX Warrants, GSH Options and SFX Options, certificates or agreements, as applicable, evidencing the right of such holders to acquire Amalco Shares.

Related to SFX Options

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Options means any rights, warrants or options to subscribe for or purchase shares of Common Stock or Convertible Securities.

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Company Stock Options shall have the meaning given to such term in Section 3.3(a) hereof.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • SARS means the South African Revenue Service.

  • Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Company Options means options to purchase shares of Company Common Stock.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Stock Index Option means an exchange traded option entitling the holder, upon timely exercise, to receive an amount of cash determined by reference to the difference between the exercise price and the value of the index on the date of exercise.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Company Stock Option Plans has the meaning ascribed to it in Section 2.6(c).

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Company Stock Option means any option to purchase Company Common Stock granted under any Company Stock Plan.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Equity Awards means any stock options, restricted stock, restricted stock units, stock appreciation rights, phantom stock or other equity based awards granted by the Company to the Executive.

  • Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Incentive Stock Options means Option Rights that are intended to qualify as “incentive stock options” under Section 422 of the Code or any successor provision.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Share Appreciation Right means the right pursuant to an Award granted under Section 8 below to receive an amount equal to the excess, if any, of (i) the aggregate Fair Market Value, as of the date such Award or portion thereof is surrendered, of the Shares covered by such Award or such portion thereof, over (ii) the aggregate Exercise Price of such Award or such portion thereof.
