Delivery of an executed signature page of this Agreement (or any notice or agreement delivered pursuant to the terms hereof) by facsimile transmission or electronic transmission shall be as effective as delivery of a manually executed counterpart hereof; provided that the Obligors shall deliver originals of all applicable documents referenced in this Agreement by no later than three (3) Business Days after the Third Forbearance Amendment and Seventeenth Amendment Effective Date.
The term of this Seventeenth Amendment will commence on the Seventeenth Amendment Effective Date shall extend through the First Amendment Term.

The Financial Projections accurately reflect the liabilities of the Borrower and its Subsidiaries upon consummation of the transactions contemplated hereby as of the Seventeenth Amendment Effective Date.
The representations and warranties contained in this Amendment and the other Loan Documents shall each be true and correct in all material respects (without duplication of any materiality qualifier contained therein) as of the Seventeenth Amendment Effective Date, as though made on and as of such time, except to the extent such representations and warranties are expressly made as of a specific date, in which event such representations and warranties are true and correct as of such specified date.
The Administrative Agent shall have received a customary legal opinion from Xxxxxx & Xxxxxxx LLP, special counsel to the Borrower, addressed to the Administrative Agent and each of the Lenders and dated the Seventeenth Amendment Effective Date, in form and substance reasonably satisfactory to the Administrative Agent.
The Agent shall receive opinions in form and substance satisfactory to the Agent within ten (10) Business Days of the Seventeenth Amendment Effective Date (or such longer time period agreed upon by Agent) from (i) Xxxxxx Xxxxxxx, special Canadian counsel for the Borrower, (ii) Davies Xxxx Xxxxxxxx & Xxxxxxxx LLP, special Canadian counsel for the Borrower, and (iii) XxXxxx XxxxXxxxxx, special Irish counsel for Dialogic Ireland.
