For the purposes of this Agreement, GoHealth, LLC shall constitute a Significant Subsidiary. \u201cSimilar Business\u201d means (1) any business conducted by the Borrower or any Restricted Subsidiary on the Effective Date or (2) any business or other activities that are reasonably similar, ancillary, incidental, complementary or related to (including non-core incidental businesses acquired in connection with any Investment permitted hereunder), or a reasonable extension, development or expansion of, the businesses that the Borrower and its Restricted Subsidiaries conduct or propose to conduct on the Effective Date. \u201cSOFR\u201d means a rate equal to the secured overnight financing rate as administered by the SOFR Administrator. \u201cSOFR Administrator\u201d means the Federal Reserve Bank of New York (or a successor administrator of the secured overnight financing rate). \u201cSOFR Borrowing\u201d means, as to any Borrowing, the SOFR Loans comprising such Borrowing. \u201cSOFR Loan\u201d means a Loan that bears interest at a rate based on Adjusted Term SOFR, other than pursuant to clause (c) of the definition of \u201cAlternate Base Rate\u201d. \u201cSold Entity or Business\u201d has the meaning assigned to such term in the definition of \u201cConsolidated EBITDA.\u201d \u201cSolvent\u201d and \u201cSolvency\u201d means with respect to any Person on any date of determination, that on such date (i) the Fair Value and the Present Fair Saleable Value of the assets of a Person exceeds such Person\u2019s Stated Liabilities and Identified Contingent Liability; (ii) such person does not have Unreasonably Small Capital; and (iii) such Person can pay its Stated Liabilities and Identified Contingent Liability as they mature. For purposes of the foregoing, (a) \u201cFair Value\u201d shall mean the amount at which the assets (both tangible and intangible), in their entirety, of a Person would change hands between a willing buyer and a willing seller, within a commercially reasonable period of time, each having reasonable knowledge of the relevant facts, with neither being under any compulsion to act, (b) \u201cPresent Fair Salable Value\u201d means the amount that could be obtained by an independent willing seller from an independent willing buyer if the assets (both tangible and intangible) of the Borrower and its Subsidiaries taken as a whole are sold on a going concern basis with reasonable promptness in an arm\u2019s-length transaction under present conditions for the sale of comparable business enterprises insofar as such conditions can be reasonably evaluated (provided that for purposes of determining Solvency on the Effective Date, this clause (b) shall be calculated after giving effect to the consummation of the Transactions (including the execution and delivery of this Agreement, the making of the Loans and the use of proceeds of such Loans on the Effective Date)), (c) \u201cStated Liabilities\u201d means the recorded liabilities (including contingent liabilities that would be recorded in accordance with GAAP, consistently applied) of such Person, (d) \u201cIdentified Contingent Liabilities\u201d shall mean the maximum estimated amount of liabilities reasonably likely to result from pending litigation, asserted claims and assessments, guaranties, uninsured risks and other
