Settlement Amounts definition

Settlement Amounts has the meaning set forth in Section 2.2(c).
Settlement Amounts means, collectively, the Seller Note Holders Settlement Amount and the Equity Holders Settlement Amount.

  • The Daily Settlement Amounts (if applicable) and the Daily Conversion Values (if applicable) shall be determined by the Company promptly following the last day of the Observation Period.

More Definitions of Settlement Amounts

Settlement Amounts means the amount of any civil or criminal fines, penalties, judgments, damages, forfeitures or other amounts payable (including attorney fees and expenses) in connection with the resolution and settlement of the any legal or regulatory matters by the Borrowers or Guarantors; provided that the resolution of the such matters shall not cause or result in a Material Adverse Effect.
Settlement Amounts means the daily amounts resulting from clearing Card Sales, including sales volume, representments, any taxes collected and other agreed upon credits, minus Chargebacks, Refunds, any agreed upon fees and other agreed upon debits.

Settlement Amounts means: (i) $830 million for the Settlement Class Fund; and (ii) $232 million for the Fee/Expense Fund.
