SERVICESOFT SHARES definition
SERVICESOFT SHARES means and include all shares of capital stock of the Company and all Exchangeable Shares owned by a Major Shareholder, whether now owned or hereafter acquired and whether owned by a Major Shareholder or a transferee thereof. For purposes of calculating the number of Servicesoft Shares owned by a Major Shareholder under this Agreement, all Exchangeable Shares held by them shall be deemed to have been exchanged for the Servicesoft Shares for which they may be exchanged and all other shares of Common Stock which a Major Shareholder has the right to acquire from the Company upon the conversion, exercise or exchange of any of the Securities of the Company or its Subsidiaries then owned by such Major Shareholder shall be deemed to be Servicesoft Shares then owned by such Major Shareholder.
