TCS will provide a single point of contact for the prompt resolution of any failure on the part of TCS to meet a Tier One Quality of Service Metric or Critical Service Level other than due to exceptional circumstances described in Section 8.7 of the Agreement (“Service Level Defaults”) and all failures to provide high quality Services to Customer, regardless of whether the reason for such Service Level Defaults, or failure to provide high quality Services to Nielsen, was caused by TCS.
If TCS fails to satisfy any Tier One Quality of Service Metric or Critical Service Level, TCS shall provide ▇▇▇▇▇▇▇ with a root cause analysis and written plan for improving TCS’ performance to satisfy the Tier One Quality of Service Metric or Critical Service Level within the timeframes defined in Section 8.6(b) of the MSA.
Once CGI makes available a fix or correction to remediate an Issue impacting one or more Service Metrics, measurement of CGI’s non-conformance with the respective Service Metric and associated Service Levels being impacted ends.
CGI performance against any suspended Service Metric and associated Service Level will be reinstated once the corresponding activity has been performed by the Customer.
If, upon application of the fix or correction, the Issue is not remediated, CGI will again be subject to measurement of non-conformance against the Service Metric, upon notification by the Customer to CGI or acknowledgement by CGI to the Customer of the new or continued situation.
However, other unrelated incidents resulting in Issues will be considered as separate events and aggregated with respect to measuring performance against each Service Metric and associated Service Levels.
In the event that a single Issue affects more than one Service Level, only the Service Metric with the highest Service Penalty will apply with respect to any Service Credits issued by CGI to the Customer.
Service Metric and Service Level reporting will begin on the Live Date.
In the event the Parties agree on a Capacity Plan, the applicable Performance Service Metric shall still apply during that National Holiday.
The SLA may contain appropriate operating requirements agreed upon by the Parties but must, at least, address the following items: • Management Operating Reviews between Parties (e.g., meeting frequency, topics, attendees, etc.) • Metrics o Supplier - Customer Service Metric, Definition, & Targets o Purchaser - Order Lead Time Adherence Definition & Target • Innovation SKUs o Rolling Forecast requirements for all Innovation SKUs o Communication requirements.
