Series I Original Issue Price definition

Series I Original Issue Price means $10.00 per share.
Series I Original Issue Price will mean $2.45 per share, subject to appropriate adjustment in the event of any stock dividend, stock split, combination or other similar recapitalization with respect to the Series I Preferred Stock. “Base Amount” means, as of any date, an amount equal to the sum of the Series I Original Issue Price plus the amount of all Mandatory Dividends with respect to a share of Series I Preferred Stock that have accrued but not been paid in cash. Mandatory Dividends will accrue from day to day, whether or not declared, and will be cumulative.   • The aggregate number of Dividend Shares issuable in connection with the payment by the Corporation for the payment of the dividend on the Series I Preferred Stock under this paragraph as of any Dividend Payment Date shall be equal to: (1) the aggregate Accrued Dividend as of such Divided Payment Date; (2) divided by the Series I Original Issue Price.
