Series 2006-1 Investor Notes definition

Series 2006-1 Investor Notes means the Investor Notes issued pursuant to the Series 2006-1 Indenture Supplement.
Series 2006-1 Investor Notes means any one of the Series 2006-1 Floating Rate Asset Backed Variable Funding Investor Notes, executed by the Issuer and authenticated and delivered by the Indenture Trustee, substantially in the form of Exhibit A.

Examples of Series 2006-1 Investor Notes in a sentence

  • On each Payment Date during the Series 2006-1 Amortization Period, based solely on the information contained in the Monthly Settlement Statement with respect to the Series 2006-1 Investor Notes, the Indenture Trustee shall withdraw from the Series 2006-1 Principal Collection Subaccount and deposit in the Series 2006-1 Distribution Account an amount equal to the Monthly Principal Payment on such Payment Date.

  • The proceeds from the sale of the Series 2006-1 Investor Notes (as defined herein) and the proceeds from any Increase (as defined herein) shall be deposited in the Series 2006-1 Collection Subaccount and shall be used by the Issuer to fund the Loans to Holdings under the Loan Agreement and the prepayment of the Invested Amounts of other Series of Investor Notes.

  • The Issuer shall have the option to prepay all outstanding Series 2006-1 Investor Notes by paying an amount equal to the Series 2006-1 Prepayment Amount.

  • The Administrative Agent shall have received an opinion of counsel to the Indenture Trustee as to the due authorization, execution and delivery by the Indenture Trustee of this Indenture Supplement and the due execution, authentication and delivery by the Indenture Trustee of the Series 2006-1 Investor Notes.

  • Notwithstanding anything to the contrary contained in the Base Indenture, no discharge of the Indenture pursuant to Section 12.1(b) of the Base Indenture will be effective as to the Series 2006-1 Investor Notes without the consent of the Series 2006-1 Required Investor Noteholders.

  • The Issuer agrees to pay or reimburse the Indenture Trustee, the Administrative Agent, the CP Conduit Purchasers, the APA Banks and the Funding Agents for all of their respective out-of-pocket costs and reasonable expenses incurred in connection with this Third Amendment, including, without limitation, the reasonable fees and disbursements of their respective counsel and the fees and expenses charged by Xxxxx’x and Standard & Poor’s in connection with their ratings of the Series 2006-1 Investor Notes.

  • Each Series 2006-1 Investor Noteholder agrees, except as set forth in clauses (v), (vi) and (x) above, that it shall use the Confidential Information for the sole purpose of making an investment in the Series 2006-1 Investor Notes or administering its investment in the Series 2006-1 Investor Notes.

  • Unless otherwise stated herein, as the context otherwise requires or if such term is otherwise defined in the Base Indenture, each capitalized term used or defined herein shall relate only to the Series 2006-1 Investor Notes and not to any other Series of Investor Notes issued by the Issuer.

Related to Series 2006-1 Investor Notes

  • A Notes means each Note that has a designation starting with “A”, either individually or in the aggregate as the context may require.

  • B Notes means each of Note B-1 and Note B-2.

  • MAC Notes The Classes of Modifiable And Combinable STACR® Notes shown on

  • Series 2019 Bonds means, collectively, the Series 2019A Bonds and the Series 2019B Bonds.

  • Series 2020 Bonds means the Series 2020A Bonds and the Series 2020B Bonds.

  • Class E Notes has the meaning assigned to such term in the Indenture.

  • Series 2015 Bonds means, collectively, the Series 2015B Bonds, Series 2015C Bonds and Series 2015D Bonds.

  • Class A-5 Notes means the $_________ Floating Rate Class A-5 Student Loan Asset-Backed Notes issued by the Trust pursuant to the Indenture, substantially in the form of Exhibit A thereto.

  • Series 2017 Bonds means, collectively, the Series 2017A Bonds and the Series 2017B Bonds.

  • Class A Notes means the Class A-1 Notes, the Class A-2 Notes, the Class A-3 Notes and the Class A-4 Notes.

  • Class B Notes means the Class B 5.87% Asset-Backed Notes substantially in the form of Exhibit B to the Indenture.

  • Class A-2 Principal Distribution Amount With respect to any Distribution Date on or after the Stepdown Date and on which a Trigger Event is not in effect, the excess of (x) the sum of the Certificate Principal Balances of the Class A-2A, Class A-2B, Class A-2C and Class A-2D Certificates immediately prior to such Distribution Date over (y) the lesser of (A) the product of (i) 59.20% and (ii) the aggregate Stated Principal Balance of the Group II Mortgage Loans as of the last day of the related Due Period (after giving effect to scheduled payments of principal due during the related Due Period, to the extent received or advanced and unscheduled collections of principal received during the related Prepayment Period) and (B) the aggregate Stated Principal Balance of the Group II Mortgage Loans as of the last day of the related Due Period (after giving effect to scheduled payments of principal due during the related Due Period, to the extent received or advanced and unscheduled collections of principal received during the related Prepayment Period) minus the product of (i) 0.50% and (ii) the aggregate principal balance of the Group II Mortgage Loans as of the Cut-off Date.

  • Class B Noteholders’ Principal Distribution Amount means, for any distribution date, the Principal Distribution Amount times the Class B Percentage for that distribution date, plus any Class B Note Principal Shortfall as of the close of business on the preceding distribution date; provided that the Class B Noteholders’ Principal Distribution Amount will not exceed the principal balance of the class B notes.In addition, on the class B maturity date, the principal required to be distributed to the class B noteholders will include the amount required to reduce the outstanding principal balance of the class B notes to zero.

  • Subsequent Notes means any Notes issued after the First Issue Date on one or more occasions.

  • Class A-SB Certificate Any one of the Certificates with a “Class A-SB” designation on the face thereof, substantially in the form of Exhibit A-1 attached hereto, and evidencing a portion of a class of “regular interests” in REMIC III for purposes of the REMIC Provisions.

  • REMIC Certificate Maturity Date The "latest possible maturity date" of the Regular Certificates as that term is defined in Section 2.07.
