Series 1 Redemption Price definition

Series 1 Redemption Price has the meaning given such term in Section 2(B)(d)(i).
Series 1 Redemption Price means, with respect to a Series 1 Preferred Share, the amount per share in U.S. dollars which is determined by the Directors as of the Effective Date to be equal to the amount obtained when the difference between the aggregate fair market value of the property received by the Company as consideration for the issuance of the Series 1 Preferred Share, determined as at the Effective Date, and the aggregate fair market value of any non-share consideration, if any, paid by the Company as partial or total consideration for the property is divided by the total number of Series 1 Preferred Shares issued in consideration for the property, provided that the “Series 1 Redemption Price” of a Series 1 Preferred Share shall be subject to adjustment in accordance with the terms of Section 2.1(2)(b).
Series 1 Redemption Price means $25.00 per Series 1 Share redeemed;

Examples of Series 1 Redemption Price in a sentence

  • So long as the Series 1 Preferred Units to be redeemed are held of record by the Depositary or the nominee of the Depositary, the Series 1 Redemption Price shall be paid by the Paying Agent to the Depositary on the Series 1 Redemption Date.

  • For the avoidance of doubt, any such Redemption Premium shall not be included in the definition of Series 1 Redemption Price hereunder.

Calculation or verification of the calculation of the Make-Whole Redemption Price is not the responsibility of the Trustee and the Trustee may conclusively rely on an Officers’ Certificate with respect thereto without investigation.

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.

  • Indenture Redemption Price has the meaning specified in Section 4.2(c).

  • Mandatory Redemption Price means $25,000 per share of AMPS plus an amount equal to accumulated but unpaid dividends (whether or not earned or declared) to the date fixed for redemption and excluding Additional Dividends.

  • Monthly Redemption Amount means, as to a Monthly Redemption, one seventh of the original principal amount at 110% of such principal amount, plus accrued but unpaid interest, liquidated damages and any other amounts then owing to the Holder in respect of this Note.

  • Early Preference Share Redemption Amount means, subject to the provisions of the Articles and the Conditions, in respect of each Preference Share, an amount expressed in the Settlement Currency calculated by the Calculation Agent as the fair market value (calculated without taking into account the creditworthiness of the Company) of a Preference Share as of the Early Preference Share Valuation Date taking into account such factor(s) as the Calculation Agent determines appropriate, including, but not limited to, the relevant Early Preference Share Redemption Event after deducting any Associated Costs (to the extent not already reflected in such fair market value).

  • Series A Redemption Notice has the meaning set forth in Section 16.6(b).

  • Minimum Redemption Amount has the meaning specified in the applicable Final Terms;

  • Monthly Redemption Date means the 1st of each month, commencing immediately upon the nine month anniversary of the Original Issue Date and terminating upon the full redemption of this Debenture.

  • Call and Put Redemption Amount means GBP 1 per Preference Share.

  • Optional Redemption Amount (Put) means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;
